to the contrary (a) Manager shall not be obligated to return or refund to Lender any Management Fee or other fee, commission or other amount already received by Manager prior to the occurrence of the Event of Default, and to which Manager was entitled under this Assignment and (b) in the event Operating Lessee loses possession of the Property in connection with exercise by Lender of its rights or remedies pursuant to this Assignment , the Note, the Security Instrument, the Loan Agreement or the other Loan Documents, Manager shall be entitled to collect any Management Fee or other fee, commission or other amount accrued but unpaid prior to the occurrence of the Event of Default, and to which Manager was entitled under this Assignment .Nothing in this Assignment shall prohibit Manager from terminating the Management Agreement pursuant to the terms thereof for failure to receive the management fee due thereunder.

Duplicate Originals, Counterparts.This Assignment may be executed in any number of duplicate originals and each duplicate original shall be deemed to be an original.This Assignment may be executed in several counterparts, each of which counterparts shall be deemed an original instrument and all of which together shall constitute a single Assignment .The failure of any party hereto to execute this Assignment , or any counterpart hereof, shall not relieve the other signatories from their obligations hereunder.

Section 6.6 Parties Bound; Assignment . This Guarantyshall be binding upon and shall inure to the benefit of the parties hereto and their respective successors, permitted assigns, heirs and legal representatives. Lender shall have the right to assign or transfer its rights under this Guaranty in connection with any assignment of the Loan and the Loan Documents. Any assignee or transferee of Lender shall be entitled to all the benefits afforded to Lender under this Guaranty. No Guarantor shall have the right to assign or transfer its rights or obligations under this Guaranty without the prior written consent of Lender, and any attempted assignment without such consent shall be null and void.

(a)the failure of Lender to comply with any request of Borrower or any other party to take any action to enforce any of the provisions hereof or of the Loan Agreement, the Note or the other Loan Documents, (b) the release, regardless of consideration, of the whole or any part of the Property, or (c) any agreement or stipulation by Lender extending the time of payment or otherwise modifying or supplementing the terms of this Assignment , the Loan Agreement, the Note or the other Loan Documents. Lender may resort for the payment and performance of the Obligations to any other security held by Lender in such order and manner as Lender, in its sole discretion, may elect. Lender may take any action to recover the Obligations, or any portion thereof, or to enforce any covenant hereof without prejudice to the right of Lender thereafter to enforce its rights under this Assignment . The rights of Lender under this Assignment shall be separate, distinct and cumulative and none shall be given effect to the exclusion of the others. No act of Lender shall be construed as an election to proceed under any one provision herein to the exclusion of any other provision.

Section 5.6 Terminationof Assignment . Upon paymentand performanceinfull of the Obligations, this Assignment shall become and be void and of no effect.

7.02 Assignment by Operator. Operator, in its sole discretion, shall have the right to assign this Agreement to any Affiliate of Operator or to any successor or assignee of Operator resulting from any merger, consolidation or reorganization, or to another corporation which shall acquire all or substantially all of the business and assets of Operator. Operator will give prompt notice to Owner of any such assignment . Operator may, with the consent of Owner not to be unreasonable delayed or withheld, assign this Agreement to any non- Affiliate. Except in the case of an assignment to an Affiliate of Operator, Operator shall be released of all of its covenants and liabilities hereunder, other than liabilities that have accrued prior to the date of the delivery of notice to Owner.

BORROWER'S WAIVERS AND RESPONSIBILITIES. Lender need not tell Borrower about any action or inaction Lender takes in connection with this Assignment . Borrower assumes the responsibility for being and keeping informed about the Property.Borrower waives any defenses that may arise because of any action or inaction of Lender, including without limitation any failure of Lender to realize upon the Property, or any delay by Lender in realizing upon the Property. Borrower agrees to remain liable under the Note with Lender no matter what action Lender takes or fails to take under this Assignment .

PAYMENT AND PERFORMANCE. Except as otherwise provided in this Assignment or any Related Documents, Grantor shall pay to Lender all amounts secured by this Assignment as they become due, and shall strictly perform all of Grantor's obligations under this Assignment . Unless and until Lender exercises its right to collect the Rents as provided below and so long as there is no default under this Assignment , Grantor may remain in possession and control of and operate and manage the Property and collect the Rents, provided that the granting of the right to collect the Rents shall not constitute Lender's consent to the use of cash collateral in a bankruptcy proceeding.

No Prior Assignment . Grantor has not previously assigned or conveyed the Rents to any other person by any instrument now in force.

Amendments. This Assignment , together with any RelatedDocuments, constitutes the entire understanding and agreement of the parties as to the matters set forth in this Assignment . No alteration of or amendment to this Assignment shall be effective unless given in writing and signed by the party or parties sought to be charged or bound by the alteration or amendment.

Joint and Several Liability. All obligations of Borrower and Grantor under this Assignment shall be joint and several, and all references to Grantor shall mean each and every Grantor, andall references to Borrower shall mean each and every Borrower. This means that each Grantor signing below is responsible for all obligations in this Assignment .Where any one or more of the parties is a corporation, partnership, limited liability company or similar entity, it is not necessary for Lender to inquire into the powers of any of the officers, directors, partners, members, or other agents acting or purporting to act on the entity's behalf, and any obligations made or created in reliance upon the professed exercise of such powers shall be guaranteed under this Assignment .

No Waiver by Lender. Lender shall not be deemed to have waived any rights under this Assignment unless such waiver is given in writing and signed by Lender. No delay or omission on the part of Lender in exercising any right shall operate as a waiver of such right or any other right. A waiver by Lender of a provision of this Assignment shall not prejudice or constitute a waiver of Lender's right otherwise to demand strict compliance with that provision or any other provision of this Assignment . No prior waiver by Lender, nor any course of dealing between Lender and Grantor, shall constitute a waiver of any of Lender's rights or of any of Grantor's obligations as to any future transactions. Whenever the consent of Lender is required under this Assignment , the granting of such consent by Lender in any instance shall not constitute continuing consent to subsequent instances where such consent is required and in all cases such consent may be granted or withheld in the sole discretion of Lender.

Notices. Any notice required to be given under this Assignment shall be given in writing, and shall be effective when actually delivered, when actually received by telefacsimile (unless otherwise required by law), when deposited with a nationally recognized overnight courier, or, if mailed, when deposited in the United States mail, as first class, certified or registered mail postage prepaid, directed to the addresses shown near the beginning of this Assignment . Any party may change its address for notices under this Assignment by giving formal written notice to the other parties, specifying that the purpose of the notice is to change the party's address. For notice purposes, Grantor agrees to keep Lender informed at all times of Grantor's current address. Unless otherwise provided or required by law, if there is more than one Grantor, any notice given by Lender to any Grantor is deemed to be notice given to all Grantors.

Severability. If a court of competent jurisdiction finds any provision of this Assignment to be illegal, invalid, or unenforceable as to any circumstance, that finding shall not make the offending provision illegal, invalid, or unenforceable as to any other circumstance. If feasible, the offending provision shall be considered modified so that it becomes legal, valid and enforceable. If the offending provision cannot be so modified, it shall be considered deleted from this Assignment . Unless otherwise required by law, the illegality, invalidity, or unenforceability of any provision of this Assignment shall not affect the legality, validity or enforceability of any other provision of this Assignment .

Assignment . The word " Assignment " means this ASSIGNMENT OF RENTS, as this ASSIGNMENT OF RENTS may be amended or modified from time to time, together with all exhibits and schedules attached to this ASSIGNMENT OF RENTS from time to time.

Indebtedness. The word "Indebtedness" means all principal, interest and late fees, and other amounts, costs and expenses payable under the Note or Related Documents, together with all renewals of, extensions of, modifications of, consolidations of and substitutions for the Note or Related Documents and any amounts expended or advanced by Lender to discharge Grantor's obligations or expenses incurred by Lender to enforce Grantor's obligations under this Assignment , together with interest on such amounts as provided in this Assignment . Specifically,without limitation, Indebtedness includes the future advances set forth in the Future Advances provision of this Assignment , together with all interest thereon.

SECTION 14.7. Assignment . This Agreement may not be assigned by Buyer without the prior written consent of Seller, other than to Affiliates of Buyer. Buyer may designate an Affiliate to which the Agreement will be assigned at the Closing, provided that Buyer provides Seller with a draft assignment for this Agreement at least five (5) days prior to Closing and provided that Buyer will continue to remain liable under this Agreement notwithstanding any such designation. Notwithstanding anything herein to the contrary, including, without limitation, Section 9.1(a), in the event Buyer assigns its rights under this Agreement, Buyer shall be solely responsible for any additional transfer taxes assessed as a result thereof, and shall pay such additional taxes at settlement and recording of the Deed. Seller shall have no liability for any realty transfer taxes, interest and penalties assessed based on any consideration greater than the Purchase Price set forth herein, and Buyer shall indemnify, defend and hold Seller harmless from any costs, liability or expense incurred by Seller in connection with an assignment of this Agreement by Buyer, including, without limitation, any transfer taxes and legal fees incurred by Seller in connection therewith.

Rights of Lender.Upon the occurrence and during the continuance of an Event of Default, Lender may, at any time without notice (except if required by any Applicable Law), either in person, by agent or by a court-appointed receiver (with such receiver to have all powers and duties set forth for receivers in this Deed of Trust and as prescribed by Applicable Law), regardless of the adequacy of Lender’s security, and at Lender’s sole election (without any obligation to do so), to the extent permitted by Applicable Law, enter upon and take possession and control of the Trust Estate to perform all acts necessary and appropriate to operate and maintain the Trust Estate, including to execute, cancel or modify the Leases, make repairs to the Trust Estate, execute or terminate contracts providing for the management or maintenance of the Trust Estate, all on such terms as are deemed best to protect the security of this assignment .Lender or the receiver, to the extent permitted by Applicable Law, shall have access to the books and records used in the operation and maintenance of the Trust Estate and shall be liable to account only for those Rents actually received.Lender shall not be liable to Trustor, anyone claiming under or through Trustor or anyone having an interest in the Trust Estate by reason of anything done or left undone by Lender hereunder, except to the extent of Lender’s gross negligence or willful misconduct.Any entering upon and taking possession and control of the Trust Estate by Lender or the receiver and any application of Rents as provided herein shall not cure or waive any Default or invalidate any other right or remedy of Lender.

Section 15.1. Assignment by Owner.Owner shall not assign or transfer or permit the assignment or transfer of this Agreement or any of Owner's rights and obligations hereunder without the prior written consent of Manager, on the conditions that (i)Owner may assign this Agreement without Manager's consent to any Affiliate of Owner or to any successor or assign that may result from the merger, consolidation or reorganization of Owner or its Affiliate provided that any such assignee shall assume and agree in writing to be bound by all of the terms and subject to all of the conditions set forth in this Agreement, and (ii)Owner shall not be released from its obligations hereunder without Manager's prior written consent which consent shall not be unreasonably withheld.Owner shall deliver to Manager a copy of any instrument of assignment .No assignment by Owner shall be binding on Manager until written notice thereof is furnished Manager, together with a copy of the applicable assignment and assumption document and evidence of such assignee's compliance with the insurance obligation of Owner imposed by this Agreement.

16. Assignment . This Agreement may be assigned by the Advisor to an Affiliate with the approval of the Board. The Advisor may assign any rights to receive fees or other payments under this Agreement without obtaining the approval of the Board. This Agreement shall not be assigned by the Company without the consent of the Advisor, except in the case of an assignment by the Company to a corporation or other organization which is a successor to all of the assets, rights and obligations of the Company, in which case such successor organization shall be bound hereunder and by the terms of said assignment in the same manner as the Company are bound by this Agreement.

5. Assignment . Original Borrower hereby grants, transfers, sets over and assigns to the Assumptor, all of Original Borrower’s right, title and interest in and to the Assumed Loan Documents, and Noteholder hereby consents to such assignment ; provided that such consent shall not be deemed to release Original Borrower from any of its obligations except as expressly provided in this Assumption Agreement.

1. Assignment . Subject to the partial assignment and assumption of section 9.3(b)and 18.10 Asset Purchase Agreement pursuant to the Assignment and Assumption of Ninth Amendment to Asset Purchase Agreement (“9thAmendment”), Assignor assigns to Assignee all of Assignor’s remaining right, title, and interest in and to the Asset Purchase Agreement, as amended. For the avoidance of doubt, as of the Effective Date of this Assignment , section 9.3(b)and 18.10 of the Asset Purchase Agreement shall be the obligation of LODGING FUND REIT III OP, LP, a Delaware limited partnership as assigned by Assignor and assumed by LODGING FUND REIT III OP, LP pursuant to the 9thAmendment.

p. Assignment . Purchaser may assign its interest under this Agreement at any time upon notice to Seller; provided, however, that no such assignment shall release Purchaser from any of its duties or obligations hereunder except as otherwise approved in writing by Seller.

1. Assignment . Assignor assigns to Assignee all of Assignor’s right, title, and interest in and to the Hotel Purchase and Sale Agreement, as amended.

Apollonia’s principal asset at this time is the right to receive payments under the Assignment . There is the possibility that a buyer exists that would pay to acquire the right to receive those payments. Given the uncertainty that currently exists, it would be difficult to establish an appropriate price for such rights independently from a sale of St. Renatus.

02/12/2019 (ST RENATUS LLC)

As more fully explained in Note 5, St. Renatus, LLC was assigned the patent for a needle-free system that delivers dental anesthesia as a nasal spray by Apollonia, LLC, an unrelated company at the time of assignment . Subsequently, Apollonia, LLC became a company with common members but separate control, and it is now considered a related party ("Related Company") under generally accepted accounting principles, the determination of which is not related to determining common ownership as defined by the IRS.

(g) Assignment . Neither party may assign this Third Assignment Agreement, or any right or obligation hereunder, without the prior written consent of the other; provided, however, that either party may assign this Third Assignment Agreement to any of its Affiliates, or, subject to Section 3(c) regarding the assumption of payment obligations hereunder, to a purchaser of all or substantially all of its assets to which this Third Assignment Agreement relates (including an acquisition by merger or the purchase of equity interests in a party), in each case with prior written notice to the other party. This Third Assignment Agreement shall be binding on and inure to the benefit of the parties hereto and their respective permitted successors and assigns.

Assignment . Clay hereby transfers, grants, conveys, assigns, and relinquishes exclusively to Gill all of Clay's right, title, and interest in and to the Patents, the inventions claimed therein, and all accrued causes of action for damages for infringement thereof (the “ Assignment ”).

The Assignor waives any right it may have of first requiring the Security Agent to proceed against or enforce any other rights or security or claim payment from any person before claiming from the Assignor under this Assignment . This waiver applies irrespective of any law or any provision of this Assignment to the contrary.

1. Assignment . Subject to Bluerock (as defined in the Operating Agreement of Assignee) funding its share of the earnest money and loan assumption costs as provided in Section 5.8 of the Operating Agreement of Assignee, Assignor hereby assigns, transfers and conveys to Assignee all of its right, title and interest in, to and under (i) the Agreement; (ii) the earnest money previously deposited by Assignor; and (iii) to the extent assignable and without any representation or warranty whatsoever, including, but not limited to any representation or warranty as to the accuracy, contents or completeness thereof, all property condition and inspection reports relating to the Property and received by Assignor in connection with the investigation and acquisition of the Property pursuant to the Agreement and either prepared by third parties or provided by the Seller and all representations and warranties made to Assignor in connection therewith (collectively, together with the Agreement and the earnest money, the “Transferred Assets”). For purposes of clarification, the parties agree that Transferred Assets shall not include any proprietary or confidential information, internal analyses, attorney work product or attorney-client privileged documents.

Borrower hereby transfers, assigns and sets over to Lender, its successors and assigns, all right, title and interest of Borrower in and to the Management Agreement. Manager hereby consents to the foregoing assignment . The foregoing assignment is being made by Borrower to Lender as collateral security for the full payment and performance by Borrower of all of its obligations under the Loan Documents. Although it is the intention of the parties that the assignment hereunder is a present assignment , until the occurrence of any default or failure to perform or observe any obligation, condition, covenant, term, agreement or provision required to be performed or observed by Borrower or any other party under any of the Loan Documents beyond any applicable grace or cure period provided for therein (an “Event of Default”), Borrower may exercise all rights as owner of the Mortgaged Property under the Management Agreement, except as otherwise provided in this Assignment . The foregoing assignment shall remain in effect as long as the Mortgage Loan, or any part thereof, remains unpaid, but shall automatically terminate upon the release of the Security Instrument as a lien on the Mortgaged Property.

Borrower, Manager and Lender shall not refuse or reject delivery of any notice given in accordance with this Assignment . Each party is required to acknowledge, in writing, the receipt of any notice upon request by the other party.

Any controversy arising under or in relation to this Assignment shall be litigated exclusively in the Property Jurisdiction without regard to conflicts of laws principles. The state and federal courts and authorities with jurisdiction in the Property Jurisdiction shall have exclusive jurisdiction over all controversies which shall arise under or in relation to this Assignment . Borrower irrevocably consents to service, jurisdiction and venue of such courts for any such litigation and waives any other venue to which it might be entitled by virtue of domicile, habitual residence or otherwise.

The invalidity or unenforceability of any provision of this Assignment shall not affect the validity or enforceability of any other provision of this Assignment , all of which shall remain in full force and effect. This Assignment contains the complete and entire agreement among the parties as to the matters covered, rights granted and the obligations assumed in this Assignment . This Assignment may not be amended or modified except by written agreement signed by the parties hereto.

(b)Any reference in this Assignment to an “Exhibit” or “Schedule” or a “Section” or an “Article” shall, unless otherwise explicitly provided, be construed as referring, respectively, to an exhibit or schedule attached to this Assignment or to a Section or Article of this Assignment . All exhibits and schedules attached to or referred to in this Assignment , if any, are incorporated by reference into this Assignment .

18. Assignment . Assignee shall not have the right to assign this Assignment Agreement or any interest therein without Assignor’s prior written consent, which consent may be given or withheld in Assignor’s sole and absolute discretion; provided, however, that Assignee shall be permitted, without obtaining Assignor’s consent, to assign this Assignment Agreement to an entity which controls, is controlled by, or is under common control with Assignee or any other entity affiliated with Assignee. For purposes of this Agreement, an affiliate of Assignee shall include (a)any entity that is owned, controlled by or is under common control with Assignee (an “Assignee Control Entity”), (b)any entity in which one or more Assignee Controlled Entities directly or indirectly is the general partner (or similar managing partner, member or manager) or owns more than 50% of the economic interests of such entity, or (c)any entity (or subsidiary thereof) that is advised by an affiliate of BCIIV Advisors LLC. Assignee shall in no event be released from any of its obligations or liabilities hereunder as a result of any such assignment .

(b) Bill of Sale and General Assignment . Seller shall deliver two duly executed originals of a bill of sale and general assignment (and other instruments of conveyance, including, by way of example only, articles of transfer, as may be required to convey personal property), in the form attached hereto as ExhibitB (the “Bill of Sale”), conveying good and marketable title to such Personal Property, Permits, Plans and Records and Intangible Property to Buyer, free and clear of all Liens caused by Seller or based on the acts or agreements of Seller but subject to the Permitted Exceptions or those expressly permitted by this Agreement.

(b) Bill of Sale and General Assignment . Buyer shall deliver two duly executed counterparts of the Bill of Sale.

15.16 Assignment . Buyer may assign all or any portion of this Agreement or its rights hereunder, or delegate all or any portion of its duties or obligations to an affiliate without Seller’s written consent, provided that Buyer gives Seller notice of the assignment or delegation and that such assignment or delegation does not relieve Buyer of its obligations hereunder. Seller shall not assign this Agreement or any rights hereunder, or delegate any of its obligations, without the prior written approval of Buyer. Subject to the provisions of this section, this Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, personal representatives, successors and permitted assigns. Except as specifically set forth or referred to herein, nothing herein expressed or implied is intended or shall be construed to confer upon or give to any person or entity, other than the parties hereto and their successors or permitted assigns, any rights or remedies under or by reason of this Agreement. For purposes of this Section15.16, an affiliate of Buyer shall include (a)any entity that is owned, controlled by or is under common control with Buyer (a “Buyer Control Entity”), and (b)any entity in which one or more Buyer Controlled Entities directly or indirectly is the general partner (or similar managing partner, member or manager) or owns more than 50% of the economic interests of such entity, or (c)any entity (or subsidiary thereof) that is advised by an affiliate of Black Creek Industrial Acquisitions, LLC.

6.04 No Assignment . Notwithstanding anything to the contrary contained herein, this Deed of Trust shall not constitute an assignment of the Ground Lease within the meaning of any provision thereof prohibiting its assignment and Beneficiary shall have no liability or obligation thereunder by reason of its acceptance of this Deed of Trust. Beneficiary shall be liable for the obligations of the lessee arising out of the Ground Lease for only that period of time for which Beneficiary is in possession of the Leased Premises or has acquired, by foreclosure or otherwise, and is holding all of Trustor’s right, title and interest therein.

13.15 Assignment . Desert Hawk may not assign, sublease or otherwise transfer its interest in this Agreement without Clifton’s prior written consent (as to that portion of the Leased Premises owned by Clifton) and Woodman’s prior written consent (as to that portion of the Leased Premises owned by Woodman) in each instance, which consents shall not be unreasonably withheld. This paragraph shall not prevent Desert Hawk from, without Lessors’ consent, mortgaging or otherwise pledging this Agreement for financing purposes in accordance with Section 4.3(g) to the Leasehold Mortgagee. The Leasehold Mortgagee (and anyone whose title derives directly or indirectly from the Leasehold Mortgagee, including a purchaser at any foreclosure sale held under a leasehold mortgage) may, without Lessors’ consent, hold a foreclosure sale, take title to Desert Hawk’s interest under this Agreement, and transfer or assign Desert Hawk’s interest under this Agreement to an entity that has the financial capacity to perform Desert Hawk’s obligations under this Agreement, either in its own name or through a nominee; provided, however, that any transfer or assignment of this Agreement by any party that is not the Leasehold Mortgagee or an affiliate of the Leasehold Mortgagee shall be subject to the first sentence of this Section 13.15. No assignment , sublease or transfer shall be effective against Lessors until Lessors receive written notice of the transfer in accordance with Section 13.1.

2.1Representations and Warranties of Tate: 2.1.1Authorization. This Assignment and all other agreements contemplated by this Assignment , when executed and delivered by the parties thereto, shall constitute legal, valid, and binding obligations of Tate, enforceable against Tate in accordance with their terms, except as such enforceability may be limited by applicable bankruptcy, insolvency and similar laws affecting the rights of creditors generally or judicial limits on equitable remedies. 2.1.2No Adverse Consequences. The execution, delivery and performance of this Assignment by Tate will not: i) result in the creation of imposition of any lien, security interest, charge or encumbrance on the Assets; ii) violate any law, judgment, order, injunction, decree, rule, regulation or ruling of any governmental authority applicable to Tate; or iii) conflict with, constitute grounds for termination or acceleration of, result in the breach of the terms, conditions, or provisions of, result in the loss of any benefit to Tate under, or constitute a default under (whether by virtue of the application of a “change of control” provision or otherwise) any agreement, instrument, license or permit to which either Tate is a party or by which Tate is bound. 2.1.3Clear Title. Tate represents and warrants that Tate has good and marketable title to all of the Assets, in each case free and clear of all options, warrants, mortgages, liens, security interests, pledges, charges or encumbrances of any nature whatsoever other than as disclosed in this Assignment . 2.1.4Litigation. There are no actions, suits, proceedings, orders, investigations, or claims pending or, to Tate’s knowledge, threatened against the Assets, at law or in equity. 2.1.5Accuracy of Representations and Warranties. 4.1Waiver. The failure of either party to comply with any obligation, covenant, agreement or condition in this Assignment may be waived in writing by the party entitled to the performance of such obligation, covenant or agreement or by the party who has the benefit of such condition, but such waiver or failure to insist on strict compliance with such obligation, covenant, agreement or condition shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure. 4.2Amendment. This Assignment may not be amended unless consented to in writing by the parties hereto. 4.3 Assignment . This Assignment may not be assigned by either party without the prior written consent of the other party hereto. 4.4Notice. Any notice or communication required or permitted to be given under this Assignment shall be given in writing and shall be considered to have been given if delivered by hand, transmitted by facsimile transmission or mailed by prepaid registered post in the United States, to the last known address of the other party. Either party may designate in writing at any time the latest address to which notice may be given to that party. 4.5Currency. Any references to currency in this Assignment or any attachment thereof are to be un U.S. Dollars unless otherwise stated. 4.6Time of the Essence. Time shall be of the essence of this Assignment . 4.7Invalidity. The invalidity or unenforceability of any provision of this Assignment shall not affect the validity or enforceability of any other provision and any such invalid or unenforceable provision shall be deemed to be severable. 4.8Entire Agreement. The provisions of this Assignment constitute the entire agreement between the parties and supersede all previous communications, representations and agreements, whether oral or written, between the parties with respect to the subject matter of this Assignment . 4.9Inurement. This Assignment shall inure to the benefit of and be binding upon the parties and, except as otherwise provided or as would be inconsistent with the provisions of this Assignment , their respective heirs, executors, administrators, successors and assigns.

4.10Independent Legal Advice. Each of the parties to this Assignment confirms and acknowledges that it has been provided with an opportunity to seek independent legal advice with respect to its rights, entitlements, liabilities and obligations hereunder and understands that it has been recommended that such advice be sought prior to entering into this Assignment . 4.11Counterparts. This Assignment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. In the event that this Assignment is signed by one party and faxed or emailed to another, the parties agree that a faxed or emailed signature shall be binding upon the parties as though the signature was an original. IN WITNESS WHEREOF this Assignment has been executed by the parties, and is effective as of the Effective Date.

a.His assignor has stated such intention in the instrument of assignment ; b.The assignee has executed an instrument reasonably satisfactory to the General Partner accepting and adopting the terms and provisions of this Agreement; and c.The assignor or assignee has paid any reasonable expense in connection with the admission of the assignee as a Partner. d.The General Partner affirms in writing the substitution. 11.4. a.Transferor - Transferee Allocations. As between a Partner and his transferee, profits and losses for any month shall be apportioned to the person who is the holder of the Limited Partnership Interest transferred on the last day of such month, without regard to the results of the Partnership's operations during the period before and after such transfer. b.Distributions and Allocations Subsequent to Transfer. A transferee of, or substitute Partner for, a Partner's Limited Partnership Interest shall be entitled to receive distributions from the Partnership with respect to such Limited Partnership Interest only after the effective date of such assignment . 11.5. Limited Partnership Interest Transferred to the General Partners. If any General Partner should acquire an Interest as a Limited Partner, including but not limited to an acquisition by purchase pursuant to Section 7.13 hereof, such General Partner shall, with respect to such Interest, enjoy all of the rights and be subject to all of the obligations and duties of a Limited Partner to the extent of such Interest.

This global assignment is subject to the business requirements of LS&Co. and your performance during the period of the assignment . Throughout the entire period of this assignment , you agree that you will not engage, directly or indirectly, either on your own or through the agency of another person, firm or corporation, in any other employment, profession, occupation, service or business whatsoever. Violation of this provision may result in the termination of your employment.

• Tax Preparation Services provided through a designated vendor during your assignment and the year following the end of your assignment . Currently, Ernst& Young provides tax services to LS&Co.’s global assignees.

• Tax Equalization is provided to ensure that you realize neither a significant tax detriment nor a benefit as a result of the assignment . LS&Co. has contracted with Ernst& Young to prepare your home and host country tax returns, to administer the tax equalization program, and to provide tax orientation to you before your departure on assignment .

• Income you receive during your global assignment is taxable under the laws of your host county and the US. In order to avoid a double taxation burden, LS&Co. pays the taxes assessed on host country income. In addition, LS&Co. pays the tax assessed on certain allowances you receive while in your host country which represents payments you would not receive but for your global assignment . You remain fully responsible for the tax liability for all taxable income earned in a given year that represents your base salary, any incentive payments, tax on personal investments, and any other income not specifically related to your global assignment . This tax liability is referred to as Stay at Home Tax.

The Company, through Ernst& Young (“EY”), provides and directly pays for tax consultation and tax preparation services while you are on assignment . The consultation includes a required pre- assignment tax consultation to review the tax implications of your international assignment and the Company’s Tax Equalization Policy. The tax consultation can take place in your current country or in your host country as soon as practical upon arrival.

11.3Sharing of Profits on Subletting and Assignment . If Lessee sublets any portion of the Premises or assigns this lease (except as permitted in either case by paragraph 11.2), Lessor and Lessee shall share the net profits, if any, calculated as follows. “Net profits” on subleases shall be deter-mined annually on an aggregate basis for all subleases of the Premises (except those permitted by paragraph 11.2) in accordance with generally accepted accounting principles. Net profits on an assignment (except as permitted by paragraph 11.2) shall be determined in accordance with generally accepted accounting principles. Lessee shall pay Lessor 25% of the net profits so determined (i)on subletting, either monthly or annually at the option of Lessee, and (ii)on an assignment , as received by Lessee. If Lessee pays such share monthly, the amount thereof shall be subject to annual adjustment. Nothing herein contained shall abrogate the requirement of Lessor’s consent to an assignment of this lease or any interest therein or subletting of the whole or any part of the Premises as set forth in paragraph 11.1.

10.3 Governance Meetings. Supplier shall implement a governance structure and governance procedures as specified in Exhibit 5. Supplier shall attend governance meetings as specified in Exhibit 5. LS&Co. may replace or reassign its governance committee members upon notice to Supplier. Supplier shall not replace or reassign its governance committee members unless LS&Co. consents to such replacement or re assignment . Before assigning an individual to a governance committee, Supplier shall notify LS&Co. of the proposed assignment , introduce the individual to appropriate LS&Co. personnel, provide LS&Co. with any information regarding the individual that may be reasonably requested by LS&Co., and obtain LS&Co.’s approval for such assignment .

pursuant to a Change in Control of LS&Co., a reorganization of LS&Co., or a transfer or sale of any business unit, line of business, product line, or substantial portion of its assets, without such consent. Upon LS&Co.’s assignment of this Agreement, LS&Co. shall be released from any obligation or liability under this Agreement. The consent of a Party to any assignment of this Agreement shall not constitute such Party’s consent to further assignment . This Agreement shall be binding on the Parties and their respective successors and permitted assigns. Any assignment in contravention of this Section29.1 shall be void.

• LS&Co. reserves the right to interview/screen tech leads in each discipline prior to assignment . It is expected that tech leads will then sign off on remaining/additional resources to ensure they meet expected standards.

Following the completion of the Split-Off, Splitco will be entitled to vote the Expedia Common Shares subject to the Diller Proxy (representing 52.4% of the outstanding voting power of the Expedia Common Shares) as a result of the assignment of the Diller Proxy to Splitco until the Proxy Arrangement Termination Date pursuant to the Diller Assignment . Following the assignment of the Diller Proxy to Splitco, based on publicly available information, other than the Expedia Common Shares that are subject to the terms of the Diller Proxy and the Diller Assignment of which Diller and Splitco will continue to share beneficial ownership, Diller is expected to beneficially own approximately 5,777,586 shares of EXPE (based upon Expedia's Annual Report on Form10-K/A (Amendment No.1) for the fiscal year ended December31, 2015, filed with the SEC on April29, 2016), representing approximately 2.2% of the outstanding voting power of the Expedia Common Shares. Following the completion of the Split-Off, the voting of the Expedia Common Shares beneficially owned by Diller which Diller will be entitled to vote will be subject to certain terms contained in the Stockholders Agreement Amendment and the voting of the Expedia Common Shares beneficially owned by Splitco which Splitco will be entitled to vote, and as to which Splitco and Diller will continue to share beneficial ownership, will be subject to certain terms contained in Splitco's restated charter, its bylaws, the Stockholders Agreement Amendment, the Diller Assignment and the Transaction Agreement. The below table sets forth a summary of the voting arrangements following the completion of the Split-Off until the Proxy Arrangement Termination Date with respect to the Expedia Common Shares of which Diller and Splitco will share beneficial ownership. 7.5 Binding Effect; Assignment . 8.8 Binding Effect; Assignment . Except with respect to a merger of a party, neither this Agreement nor any of the rights, interests or obligations hereunder shall be assigned by any party hereto without the prior written consent of the other party; provided, however, that each of Distributing and Splitco may assign its respective rights, interests, duties, liabilities and obligations under this Agreement to any other member of their Group, but such assignment shall not relieve Distributing or Splitco, as the assignor, of its liabilities or obligations hereunder.

12. Liberty Consent. To the extent this Agreement or the Diller Assignment constitutes a prohibited assignment of the Liberty Proxy pursuant to Section3.3(d)of the Stockholders Agreement, Liberty hereby consents to the assignment of the Liberty Proxy upon the execution of and pursuant to the terms of this Agreement and the Diller Assignment . For the avoidance of doubt, the foregoing consent does not affect any other provision of the Stockholders Agreement, which shall continue in full force and effect.

6.7Binding Effect; Assignment . This Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, successors and permitted assigns. Nothing in this Agreement shall create or be deemed to create any third party beneficiary rights in any person or entity not a Party to this Agreement. No assignment of this Agreement or of any rights or obligations hereunder may be made by any Party hereto (by operation of law or otherwise) without the prior written consent of the other Party and any attempted assignment without the required consent shall be void; provided that prior to the Closing, the Purchaser may assign its rights and obligations hereunder to its Affiliates without the prior written consent of the Seller.

2. Assignment . Subject to and with effect from the SPA Closing, the Assignor hereby absolutely and irrevocably assigns all the rights, obligations and covenants of the Assignor with respect to and in connection with the Sale Shares under the IRA (as amended by this Assignment ) to the Assignee, and the Assignee hereby accepts the foregoing assignment and fully assumes the rights, obligations and covenants of the Assignor with respect to and in connection with the Sale Shares under the IRA (as amended by this Assignment ). 7.Binding Effect; Assignment . This Assignment shall be binding upon and inure to the benefit of the parties and their respective heirs, successors and permitted assigns. Nothing in this Assignment shall create or be deemed to create any third party beneficiary rights in any person or entity not a party to this Assignment . No assignment of this Assignment or of any rights or obligations hereunder may be made by any party hereto (by operation of law or otherwise) without the prior written consent of the other party (which consent, in each case, shall not be unreasonably withheld, delayed or conditioned) and any attempted assignment without the required consent shall be void.

(b)Acknowledgment of the PWM IRA Assignment . The Parties acknowledge and agree that with effect from the effective date of the latest PWM IRA Assignment (the “Effective Time”), the PWM IRA shall be of no further force and effect with respect to PWM, and PWM shall have no further liability or obligation with respect thereto or any of the transactions contemplated thereby.

8.Amendment; Assignment . This Agreement may not be amended, modified or supplemented in any manner, whether by course of conduct or otherwise, except by an instrument in writing specifically designated as an amendment hereto, signed on behalf of each of the Parties. No Party may assign either this Agreement or any of its rights, interests, or obligations hereunder without the prior written approval of the other Party. Subject to the preceding sentence, this Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective successors and permitted assigns.

11.6 Binding Effect and Assignment . This Agreement shall be binding upon and inure to the benefit of the Parties and their respective permitted successors and assigns. Nothing in this Agreement, express or implied, is intended to confer upon any Person other than the Parties and their respective permitted successors and assigns, any rights, benefits or obligations hereunder, except as set forth in ARTICLE IX and Section11.1. No Party hereto may assign, transfer, dispose of or otherwise alienate this Agreement or any of its rights, interests or obligations under this Agreement (whether by operation of Law or otherwise) except that each of the Company and the Remora Holdings may transfer their respective rights and obligations hereunder to any Affiliate. Any attempted assignment , transfer, disposition or alienation in violation of this Agreement shall be null, void and ineffective.

No provision of this Assignment will be interpreted in favor of, or against, any of the Parties by reason of the extent to which any such Party or its counsel participated in the drafting thereof or by reason of the extent to which any such provision is inconsistent with any prior draft of this Assignment , and no rule of strict construction will be applied against any Party hereto. This Assignment will not be interpreted or construed to require any person to take any action, or fail to take any action, if to do so would violate any applicable Law.

SECTION 5.03 Assignment . This Assignment shall inure to the benefit of and be binding on the Parties and their respective heirs, legal representatives, successors and assigns.

10. Assignment . This Agreement shall be binding upon and inure to the benefit of and be enforceable by the parties hereto and their respective successors and assigns. In addition, and regardless of whether any express assignment shall have been made, the provisions of this Agreement which are for the benefit of the parties hereto other than the Company shall also be for the benefit of and enforceable by any subsequent holder of any Registrable Securities, subject to the provisions respecting the minimum numbers or percentages of Registrable Securities required in order to be entitled to certain rights, or take certain actions, contained herein.

(iv) Assignment and Assumption. The parties to each assignment shall execute and deliver an Assignment and Assumption, and the assignee(s) and/or assignor(s) party thereto shall deliver a processing and recordation fee of $3,500, in each case to Administrative Agent; provided that Administrative Agent may, in its discretion, elect to waive such processing and recordation fee in the case of any assignment . The assignee, if it is not a Lender, shall deliver to Administrative Agent an Administrative Questionnaire.

Should the nature of your position change or if this assignment extends beyond its initial duration the terms may be subject to change at that time. Teva reserves the right to modify the global assignment policies and procedures at any time in whole or in part, with or without notice.

Teva does not compensate for the loss of spousal/partner income as a result of the assignment , but rather recognizes that the financial impact exists. To ease the transition, Teva reimburses for job placement and related services if your spouse accompanies you full time on assignment . The maximum reimbursement is equivalent to 2000 USD. Reimbursement must be claimed within 12 months of the effective date of your assignment and Teva is responsible for any applicable taxes. Reimbursement will be processed by Teva’s dedicated relocation provider.

You will be provided one home leave every 12 months on assignment between your home country and your host country for you and your spouse. Teva covers round trip airfare, based on economy fare booked at least 30 days in advance and via the most direct route. Any ground transportation and/or lodging costs are your responsibility. You must use your vacation time for your home leave visits. To allow for unmarried dependent children enrolled in university outside the host location to visit you in the host location, the Company reimburses one round trip, economy airfare per child per the full duration of the assignment . Travel must be booked at least 30 days in advance via the most direct route.

In the event Teva, in its sole discretion, ends your international assignment before its scheduled end date, Teva will provide return trip airfare for you and your spouse back to the point of origin, and will ship household goods back to the point of origin or to some other mutually agreed upon location. Unless otherwise agreed to by regional management and Human Resources, the return must be completed within 60 days after the effective date of the termination of the international assignment . By failing to relocate within 60 days, you forfeit Teva’s offer to pay for repatriation transportation costs.

17. Assignment . This Agreement may be assigned, without the consent of the Executive, by Teva USA to any person, partnership, corporation or other entity that has purchased all or substantially all the assets of Teva USA; provided, that such assignee assumes any and all of the obligations of the Company hereunder. The Company shall cause any person, firm or corporation acquiring all or substantially all of the assets of Teva USA to execute a written instrument agreeing to assume any and all of the obligations of the Company hereunder as a condition to acquiring such assets.

19. No Assignment . The Parties agree that they have not, and will not, sell, transfer or assign, or purport to sell, transfer or assign, any Claim or interest in any claim that is the subject of the releases in this Agreement.

(d)Dispute Resolution. Except with respect to claims for breach of the obligations under Section 2 of this Agreement, for which the Company may seek enforcement in any court having competent jurisdiction at its election, any dispute arising between the Company and Employee with respect to the validity, performance or interpretation of this Agreement shall be submitted to and determined in binding arbitration in Hartford, Connecticut, for resolution in accordance with the rules of the American Arbitration Association, modified to provide that the decision of the arbitrator shall be binding on the parties; shall be furnished in writing, separately and specifically stating the findings of fact and conclusions of law on which the decision is based; shall be kept confidential by the arbitrator and the parties; and shall be rendered within sixty (60) days following the arbitrator being impaneled. Costs and expenses of the arbitration shall be borne by the Company regardless of the outcome. The arbitrator shall be selected in accordance with the rules of the American Arbitration Association. (e) Assignment . Without the prior written consent of Employee, this Agreement shall not be assignable by the Company. This Agreement shall inure to the benefit of and be enforceable by Employee’s heirs and legal representatives. This Agreement shall inure to the benefit of and be binding upon the Company and its successors and assigns.

Although you will be working with The Host Company, your contract of employment with The Home Company will continue in existence during your assignment , except as herein provided. At the end of your assignment , the Company will assist with transferring your personal effects back to a location of your choice in your Home Country or on to a consecutive international assignment . The same limitations apply for repatriation of your HHG.

(f) Assignment . Neither this Agreement nor any of the rights or obligations hereunder may be assigned by the Company without the prior written consent of BBH; provided, however, that BBH may assign or transfer its duties or interests hereunder to any of its affiliates at the sole discretion of BBH and may otherwise assign, on a “shared basis”, its rights under Section4 to any affiliated private equity fund to the extent necessary to maintain venture capital operating company status. Subject to the foregoing, the provisions of this Agreement will be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. Subject to the next sentence, no person or party other than the parties hereto and their respective successors or permitted assigns is intended to be a beneficiary of this Agreement. The parties acknowledge and agree that BBH and its affiliates and their respective partners (both general and limited), members (both managing and otherwise), officers, directors, employees, agents and representatives as well as any assignees pursuant to this Section7(f) are intended to be third-party beneficiaries under Sections 3, 4, 5 and 6 hereof, as applicable.

SECTION3. Further Assurances. Each Party will, upon the other Party’s reasonable request, without further consideration but at the requesting Party’s expense, provide or execute all other documents and take all further actions as may be necessary to effectuate the purpose of this Assignment . Without limiting the foregoing, at Assignee’s request and expense, Assignor shall execute a short-form assignment to record the assignment herein at the U.S. Patent and Trademark Office.

5. Assignment . Neither Maker nor Holders may assign any of its rights or obligations under this Note except with the prior written consent of the other. Subject to the first sentence of this Section 5, this Note is binding upon and shall inure to the benefit of the parties hereto and their respective successors, heirs, legal representatives, and permitted assigns.

6.Independent Covenants. This Assignment is subject in all respects to the terms and conditions of the Purchase Agreement. Nothing contained in this Assignment shall be deemed to diminish any of the obligations, agreements, covenants, representations or warranties of the parties contained in the Purchase Agreement. 7.Counterparts. This Assignment may be executed in counterparts, each of which shall be deemed an original, and all of which when affixed together shall constitute but one and the same instrument. Manual signatures exchanged electronically by facsimile or email shall be deemed original signatures for all purposes. 8.Recitals. The recitals above are incorporated by reference into this Assignment . 9.Amendment and Governing Law. This Assignment shall be governed in all respects by the laws of the state of Colorado (without regards to the conflict of law principles thereof). No change in or amendment to this Assignment shall be valid unless set forth in a writing signed by both parties to this Assignment . THE PARTIES WAIVE ANY DEFENSES BASED UPON INVALIDITY OF CONTRACTS FOR PUBLIC POLICY REASONS AND/OR THE SUBSTANCE OF THE CONTRACT VIOLATING FEDERAL LAW.

1. Assignment and Assumption. Seller hereby assigns the Material Contracts to Purchaser, and Purchaser hereby assumes and agrees to perform or otherwise carry out all of Seller’s obligations with respect to the Material Contracts. Seller agrees to indemnify and hold harmless Purchaser from any liability accruing from such Material Contracts before the date of this Assignment and Purchaser agrees to indemnify and hold harmless Seller from any liability accruing from such Material Contracts following the date of this Assignment . Notwithstanding the foregoing, Purchaser shall not assume, or become liable to pay, perform or discharge any liability for any Material Contract (unless Purchaser affirmatively elects otherwise in writing): (i) where Seller is in default prior to the date of this Assignment ; (ii) where the consent or approval of any person is required for Seller to assign or Purchaser to assume such Material Contract and such consent or approval is not obtained or waived in writing by Purchaser before the date of this Assignment ; or (iii) where any notice to any person is required for Seller to assign or Purchaser to assume such Material Contract and such notice is not provided to such person or waived in writing by Purchaser before the date hereof.

9. Amendment and Governing Law. This Assignment shall be governed in all respects by the laws of the state of Colorado (without regards to the conflict of law principles thereof). No change in or amendment to this Assignment shall be valid unless set forth in a writing signed by both parties to this Assignment . THE PARTIES ACKNOWLEDGE THAT (A) COLORADO HAS PASSED AMENDMENTS TO THE COLORADO CONSTITUTION AND ENACTED CERTAIN LEGISLATION TO GOVERN THE CANNABIS INDUSTRY AND (B) THE POSSESSION, SALE, MANUFACTURE, AND CULTIVATION OF CANNABIS IS ILLEGAL UNDER FEDERAL LAW. THE PARTIES WAIVE ANY DEFENSES BASED UPON INVALIDITY OF CONTRACTS FOR PUBLIC POLICY REASONS AND/OR THE SUBSTANCE OF THE CONTRACT VIOLATING FEDERAL LAW.

This Agreement will be binding upon the parties hereto and their respective successors, personal representatives, heirs and assigns. Neither Party may assign any of its rights or obligations under this Agreement except with the prior written consent of other Party.

(iv) Assignment and Assumption. The parties to each assignment shall execute and deliver to the Administrative Agent an Assignment and Assumption, together with a processing and recordation fee in the amount of $3,500; provided, however, that the Administrative Agent may, in its sole discretion, elect to waive such processing and recordation fee in the case of any assignment . The assignee, if it is not a Lender, shall deliver to the Administrative Agent an administrative questionnaire in form and substance reasonably satisfactory to the Administrative Agent.

Subject to acceptance and recording thereof by the Administrative Agent pursuant to subsection (c)of this Section, from and after the effective date specified in each Assignment and Assumption, the assignee thereunder shall be a party to this Agreement and, to the extent of the interest assigned by such Assignment and Assumption, have the rights and obligations of a Lender under this Agreement, and the assigning Lender thereunder shall, to the extent of the interest assigned by such Assignment and Assumption, be released from its obligations under this Agreement (and, in the case of an Assignment and Assumption covering all of the assigning Lender’s rights and obligations under this Agreement, such Lender shall cease to be a party hereto) but shall continue to be entitled to the benefits of Sections 10.2, 10.3 and 10.5 with respect to facts and circumstances occurring prior to the effective date of such assignment . Any assignment or transfer by a Lender of rights or obligations under this Agreement that does not comply with this section shall be treated for purposes of this Agreement as a sale by such Lender of a participation in such rights and obligations in accordance with Section 22.4. Any payment by an assignee to an assigning Lender in connection with an assignment or transfer shall not be or be deemed to be a repayment by the Borrower or a new Loan to the Borrower.

Assignment clause defined.

Assignment clauses are legally binding provisions in contracts that give a party the chance to engage in a transfer of ownership or assign their contractual obligations and rights to a different contracting party.

In other words, an assignment clause can reassign contracts to another party. They can commonly be seen in contracts related to business purchases.

Purpose of Assignment Clause

The purpose of assignment clauses is to establish the terms around transferring contractual obligations. The Uniform Commercial Code (UCC) permits the enforceability of assignment clauses.

Assignment Clause Examples

Examples of assignment clauses include:

  • Example 1 . A business closing or a change of control occurs
  • Example 2 . New services providers taking over existing customer contracts
  • Example 3 . Unique real estate obligations transferring to a new property owner as a condition of sale
  • Example 4 . Many mergers and acquisitions transactions, such as insurance companies taking over customer policies during a merger

Assignment Clause Samples

Sample 1 – sales contract.

Assignment; Survival .  Neither party shall assign all or any portion of the Contract without the other party’s prior written consent, which consent shall not be unreasonably withheld; provided, however, that either party may, without such consent, assign this Agreement, in whole or in part, in connection with the transfer or sale of all or substantially all of the assets or business of such Party relating to the product(s) to which this Agreement relates. The Contract shall bind and inure to the benefit of the successors and permitted assigns of the respective parties. Any assignment or transfer not in accordance with this Contract shall be void. In order that the parties may fully exercise their rights and perform their obligations arising under the Contract, any provisions of the Contract that are required to ensure such exercise or performance (including any obligation accrued as of the termination date) shall survive the termination of the Contract.

Sample 2 – Purchase and Sale Agreement

Assignment . Purchaser shall not assign this Agreement or any interest therein to any Person, without the prior written consent of Seller, which consent may be withheld in Seller’s sole discretion. Notwithstanding the foregoing, upon prior written notice to Seller, Purchaser may designate any Affiliate as its nominee to receive title to the Property, or assign all of its right, title and interest in this Agreement to any Affiliate of Purchaser by providing written notice to Seller no later than five (5) Business Days prior to the Closing; provided, however, that (a) such Affiliate remains an Affiliate of Purchaser, (b) Purchaser shall not be released from any of its liabilities and obligations under this Agreement by reason of such designation or assignment, (c) such designation or assignment shall not be effective until Purchaser has provided Seller with a fully executed copy of such designation or assignment and assumption instrument, which shall (i) provide that Purchaser and such designee or assignee shall be jointly and severally liable for all liabilities and obligations of Purchaser under this Agreement, (ii) provide that Purchaser and its designee or assignee agree to pay any additional transfer tax as a result of such designation or assignment, (iii) include a representation and warranty in favor of Seller that all representations and warranties made by Purchaser in this Agreement are true and correct with respect to such designee or assignee as of the date of such designation or assignment, and will be true and correct as of the Closing, and (iv) otherwise be in form and substance satisfactory to Seller and (d) such Assignee is approved by Manager as an assignee of the Management Agreement under Article X of the Management Agreement. For purposes of this Section 16.4, “Affiliate” shall include any direct or indirect member or shareholder of the Person in question, in addition to any Person that would be deemed an Affiliate pursuant to the definition of “Affiliate” under Section 1.1 hereof and not by way of limitation of such definition.

Language Sample Analysis in 4 Easy Steps

Language sample analysis is really critical when initially evaluating and even monitoring progress, but they can be tedious and slow! If you read my previous post, you are going to love this update (12/2021) with even more helpful tips!!

I’ve got info on how to quickly get language samples through using hacks on Microsoft Word, Google docs, plus my Language Analysis FREEBIE and MLU/PGU Normative charts! Whew! So much good info!

Where are you getting your language sample?

First things first, best practices for language samples (especially for school-aged kids) are narrative or expository language samples,  not conversation. After the preschool years, conversation language is typically less advanced that narratives or expository. So make sure you’re getting your students’ best efforts.

Microsoft Word for Language Sample Analysis

In the past, I have done my language sample analysis using Microsoft Word. Yes, you read that correctly! You can do so much using tools you likely already have! And it’s fast! Check out the steps below to complete one of your own:

Step One : Type in 50 utterances. Put each utterance on their own line. I like to use numbered bullets to keep track of how many I have. See an example below:

Make sure to break apart all morphemes with a space between them as shown below:

Step Two: Calculate total words. To do this, get rid of the numbered bullets first!! One you have a document with just the child’s utterances, go to Tools —> Word Count.

Step Three: Divide the number next to Words (113 in this example) by 50 (the total number of utterances). This calculation gives you an MLU of 2.26. Easy, right?!

Google Docs for Language Sample Analysis

If you’re more of a Google docs fan, you can do a pretty similar process. I can never remember where to find the word count, but if click on Help, then type in “Word count,” it will pop up.

Are you ready to make this process even easier???

Google docs has a speech-to-text option called “Voice Typing.” (Again, if I can’t find it in the menus, I just click “Help” and search for “Voice Typing.”) It might ask you for permission to use the microphone. Then a microphone icon will appear. When you are ready to use the feature, click the microphone and it will turn red. That means that it’s recording.

Here’s the amazing thing: a recent study showed that used Google’s voice typing was actually MORE accurate than seasoned professionals doing transcription when recording narrative samples from 7-11 year old students. The study actually used a pre-recorded sample and they recommend that you let Google do its job, then review the sample once after, just to make sure that you agree with Google. Speech-to-text has come a long way!

So you can let Google transcribe it, then divide into utterances and morphemes to run your word count and figure out your MLU.

MLU – What Does It All Mean?

So you have an MLU calculation, but what does that even mean?

MLU is not necessarily a good benchmark to form goals by, but it does help when making diagnostic decisions.

The most updated information on MLU numbers I could find was in this article . If you look at Table 4, they have a great chart outlining MLU in words and in morphemes among kids aged 2;6-8;11 in 6 month increments with standard deviations, in both SLI groups (labelled “Affected”) and typical groups (labelled “Unaffected”).

For kids older than that, MLU hasn’t really shown to be a good measure, but the sentence structures mentioned above in my checklist might be a better place to start!

One More Language Sample Measure: Percentage Grammatical Utterances (PGU)

A more recent entry on the Language Sample Analysis front is Percentage of Grammatical Utterances, or PGU. MLU tells us if a child’s utterances are generally as long as we would expect them to be. But once children are putting words together, we really need to figure out why they aren’t as long or complicated as we want them to be. PGU gives you a measure of grammaticality and can help you zero in on actual goals for treatment.

Here’s how you figure out PGU (from this recent study ):

  • Make sure your language sample is divided into utterances. Include only intelligible, complete, and spontaneous C-units (independent clause with dependent clauses, as well as nonclausal statements that were a complete thought)
  • Count how many contain at least one grammatical error (You can look at the article for all their specific errors, but think verb tenses, pronouns, morphemes like plural -s, etc.)
  • PGU = (Total utterances – Ungrammatical utterances)/(Total utterances) * 100%

I took the information from the article and put it into this lovely chart if you want to see what kind of percentages you should be expecting from typical and atypical language development:

Hope that’s helpful and it saves you some time! There are definitely more in depth ways of doing this, but let’s be honest, we are working under some serious time constraints!

For those children, a MLU-w measurement isn’t really informative, or really even appropriate. You would calculate it the same way, with the MLU-w being 1 if the children are truly only communicating with one word, or you could just informally say that the child speaks in single words. At any rate, MLU-w is merely an indicator that there could be a language impairment. The single word level (or MLU-w of 1) would only be appropriate for a 12-26 month old child.

For non-speaking children, I find it more useful to report on communication intents and functions (are they only requesting? labelling?), as well as parts of speech being used (are they only talking nouns? Do we hear any adjectives? verbs?)

I have a question about the MLU chart. Is it possible that the headers are reversed for the MLU norms: i.e., the “MLU In Words” and “MLU in Morphemes” columns? I am looking at the publication and think that the numbers are different. I am confused. You are counting the words, but I believe you are supposed to count the morphemes. Am I forgetting something? I haven’t done this in a while so it’s possible.

You can count words or morphemes, it just depends on what you are trying to find out! If you want to have a quick measure of words per utterance, you can just count words. If you are trying to get an idea of the level of complexity of the language sample, you would want to count morphemes – if the morpheme count is basically the same as the word count, your student isn’t using morphemes. The most important thing is that if you are using any charts for comparison, you are comparing words to words and morphemes to morphemes. Some research will use MLU in words and some will use MLU in morphemes and some will use both! Brown’s morphemes chart uses MLU in morphemes, or sometimes written as MLUm, so if you’re using that as a reference, you’ll need to count morphemes. Hopefully that’s a little clearer!

And, just to clear it up further, when I’m doing a language sample, I put a space between morphemes so the word and the morpheme are each counted by the program. So if my student says “I playing,” (2 words) I would type out “I play ing” which is counted as 3 in the word count of the program. Thanks for asking!

My 6-Step Process to Quickly & Easily Collect Language Samples

When you’re first starting to work with a new student, one of the “go to” assessment tools is a language sample.

But wait…

What if you don’t have time to collect language samples?! Aren’t they incredibly time-consuming?

They don’t have to be!

What is a language sample? Why is it important?

Before we jump in, let’s chat a little bit about why we should even bother with language samples.

Language samples, and particularly narrative language samples, may offer a valid complement or even alternative to norm-referenced testing (Ebert & Scott, 2014).

1. Language samples address many of the weaknesses of norm-referenced testing.

2. They provide rich, in-depth information about a child’s use of language in real-world situations (Costanza-Smith, 2010; Hewitt, Hammer, Yont, & Tomblin, 2005), resulting in strong ecological validity and the ability to derive language treatment targets .

3. They place very few behavioral requirements  on examinees, allowing for flexible use across children of diverse ages and types of impairment (Costanza-Smith, 2010).

4. They have been shown to be a valid assessment for diverse populations, including bilingual children (Restrepo, 1998) and speakers of nonstandard dialects (Stockman, 1996).

And guess what?! It doesn’t have to take you hours to analyze your samples.

6 Steps to Streamline Your Language Sample Collection

When documenting my language samples, I wanted some quick and easy data to share. The mean length of utterance (MLU), or the average number of morphemes per utterance, is a quick, easy, and useful measure. Several research studies cite MLU as an “index for language development” (e.g., Condouris, Meyer, & Tager-Flusberg, 2003; Tager-Flusberg et al., 2009). We also know that students with language delays/disorders produce shorter utterances and use fewer grammatical morphemes. We even have some norms that we can refer to when making clinical decisions. (MLU isn’t the only measure we can look at, but it is a very helpful starting point!)

I used to manually count all the morphemes/utterances and pull out a calculator to do the math, but I knew there had to be an easier way! I did some research, and I was able to create a smart spreadsheet that automatically calculates MLU for you!

Here are the steps to use it!

1. Enter Student Information

I typically only include my student’s initials. My school district didn’t purchase the HIPAA-compliant version of Google Drive, so I want to avoid including too much student data.

I also include the date, time, and type of sample collected.

2. Start the Timer

Give the student a prompt (e.g., a conversation starter, a wordless picture book, sequencing cards, etc.) and start typing away!

To calculate mophemes (instead of words), just want to add a space in between every morpheme. For example, “The cats walked across the room” would be “The cat s walk ed across the room.”

I hit “Enter” to move each utterance to a new line.

I usually record the sample so I can refer back to it, if needed.

3. Add Relevant Notes

I make note of anything that struck me in regards to language content, form, or use.

4. Delete Extra Rows

I delete extra rows, so the spreadsheet only calculates the MLU using the student’s utterances.

5. Update the Number of Utterances

I highlight the utterances, and Google Sheets automatically calculates the number for me. I update that number on the bottom of the sheet. (We typically want to shoot for 100 utterances in a language sample.)

6. Language Sample = Complete

Now, it’s time to “plug and chug.” I move the data into my report. Because I took notes in “real time,” it makes it really easy to describe what actually happened during the language sample (rather than guessing…!).

I just entered a short language sample. I’m not getting an MLU based on morphemes. The “MLU” calculation seems to be an average length of utterance based on words. I’m familiar with SALT from grad school, and am wondering if I need to “mark” words when typing (ex.: eat/3s).

I am a bilingual SLP and I take language samples for all of my students, so this is a huge time saver!! How many utterances do you typically collect? I know 50-100 is recommended, but not always feasible in a school setting with a high caseload, especially when the majority of my students are bilingual and require a full language battery in both languages. I’m just curious what other SLPs do?

Understanding Assignments

What this handout is about.

The first step in any successful college writing venture is reading the assignment. While this sounds like a simple task, it can be a tough one. This handout will help you unravel your assignment and begin to craft an effective response. Much of the following advice will involve translating typical assignment terms and practices into meaningful clues to the type of writing your instructor expects. See our short video for more tips.

Basic beginnings

Regardless of the assignment, department, or instructor, adopting these two habits will serve you well :

  • Read the assignment carefully as soon as you receive it. Do not put this task off—reading the assignment at the beginning will save you time, stress, and problems later. An assignment can look pretty straightforward at first, particularly if the instructor has provided lots of information. That does not mean it will not take time and effort to complete; you may even have to learn a new skill to complete the assignment.
  • Ask the instructor about anything you do not understand. Do not hesitate to approach your instructor. Instructors would prefer to set you straight before you hand the paper in. That’s also when you will find their feedback most useful.

Assignment formats

Many assignments follow a basic format. Assignments often begin with an overview of the topic, include a central verb or verbs that describe the task, and offer some additional suggestions, questions, or prompts to get you started.

An Overview of Some Kind

The instructor might set the stage with some general discussion of the subject of the assignment, introduce the topic, or remind you of something pertinent that you have discussed in class. For example:

“Throughout history, gerbils have played a key role in politics,” or “In the last few weeks of class, we have focused on the evening wear of the housefly …”

The Task of the Assignment

Pay attention; this part tells you what to do when you write the paper. Look for the key verb or verbs in the sentence. Words like analyze, summarize, or compare direct you to think about your topic in a certain way. Also pay attention to words such as how, what, when, where, and why; these words guide your attention toward specific information. (See the section in this handout titled “Key Terms” for more information.)

“Analyze the effect that gerbils had on the Russian Revolution”, or “Suggest an interpretation of housefly undergarments that differs from Darwin’s.”

Additional Material to Think about

Here you will find some questions to use as springboards as you begin to think about the topic. Instructors usually include these questions as suggestions rather than requirements. Do not feel compelled to answer every question unless the instructor asks you to do so. Pay attention to the order of the questions. Sometimes they suggest the thinking process your instructor imagines you will need to follow to begin thinking about the topic.

“You may wish to consider the differing views held by Communist gerbils vs. Monarchist gerbils, or Can there be such a thing as ‘the housefly garment industry’ or is it just a home-based craft?”

These are the instructor’s comments about writing expectations:

“Be concise”, “Write effectively”, or “Argue furiously.”

Technical Details

These instructions usually indicate format rules or guidelines.

“Your paper must be typed in Palatino font on gray paper and must not exceed 600 pages. It is due on the anniversary of Mao Tse-tung’s death.”

The assignment’s parts may not appear in exactly this order, and each part may be very long or really short. Nonetheless, being aware of this standard pattern can help you understand what your instructor wants you to do.

Interpreting the assignment

Ask yourself a few basic questions as you read and jot down the answers on the assignment sheet:

Why did your instructor ask you to do this particular task?

Who is your audience.

  • What kind of evidence do you need to support your ideas?

What kind of writing style is acceptable?

  • What are the absolute rules of the paper?

Try to look at the question from the point of view of the instructor. Recognize that your instructor has a reason for giving you this assignment and for giving it to you at a particular point in the semester. In every assignment, the instructor has a challenge for you. This challenge could be anything from demonstrating an ability to think clearly to demonstrating an ability to use the library. See the assignment not as a vague suggestion of what to do but as an opportunity to show that you can handle the course material as directed. Paper assignments give you more than a topic to discuss—they ask you to do something with the topic. Keep reminding yourself of that. Be careful to avoid the other extreme as well: do not read more into the assignment than what is there.

Of course, your instructor has given you an assignment so that he or she will be able to assess your understanding of the course material and give you an appropriate grade. But there is more to it than that. Your instructor has tried to design a learning experience of some kind. Your instructor wants you to think about something in a particular way for a particular reason. If you read the course description at the beginning of your syllabus, review the assigned readings, and consider the assignment itself, you may begin to see the plan, purpose, or approach to the subject matter that your instructor has created for you. If you still aren’t sure of the assignment’s goals, try asking the instructor. For help with this, see our handout on getting feedback .

Given your instructor’s efforts, it helps to answer the question: What is my purpose in completing this assignment? Is it to gather research from a variety of outside sources and present a coherent picture? Is it to take material I have been learning in class and apply it to a new situation? Is it to prove a point one way or another? Key words from the assignment can help you figure this out. Look for key terms in the form of active verbs that tell you what to do.

Key Terms: Finding Those Active Verbs

Here are some common key words and definitions to help you think about assignment terms:

Information words Ask you to demonstrate what you know about the subject, such as who, what, when, where, how, and why.

  • define —give the subject’s meaning (according to someone or something). Sometimes you have to give more than one view on the subject’s meaning
  • describe —provide details about the subject by answering question words (such as who, what, when, where, how, and why); you might also give details related to the five senses (what you see, hear, feel, taste, and smell)
  • explain —give reasons why or examples of how something happened
  • illustrate —give descriptive examples of the subject and show how each is connected with the subject
  • summarize —briefly list the important ideas you learned about the subject
  • trace —outline how something has changed or developed from an earlier time to its current form
  • research —gather material from outside sources about the subject, often with the implication or requirement that you will analyze what you have found

Relation words Ask you to demonstrate how things are connected.

  • compare —show how two or more things are similar (and, sometimes, different)
  • contrast —show how two or more things are dissimilar
  • apply—use details that you’ve been given to demonstrate how an idea, theory, or concept works in a particular situation
  • cause —show how one event or series of events made something else happen
  • relate —show or describe the connections between things

Interpretation words Ask you to defend ideas of your own about the subject. Do not see these words as requesting opinion alone (unless the assignment specifically says so), but as requiring opinion that is supported by concrete evidence. Remember examples, principles, definitions, or concepts from class or research and use them in your interpretation.

  • assess —summarize your opinion of the subject and measure it against something
  • prove, justify —give reasons or examples to demonstrate how or why something is the truth
  • evaluate, respond —state your opinion of the subject as good, bad, or some combination of the two, with examples and reasons
  • support —give reasons or evidence for something you believe (be sure to state clearly what it is that you believe)
  • synthesize —put two or more things together that have not been put together in class or in your readings before; do not just summarize one and then the other and say that they are similar or different—you must provide a reason for putting them together that runs all the way through the paper
  • analyze —determine how individual parts create or relate to the whole, figure out how something works, what it might mean, or why it is important
  • argue —take a side and defend it with evidence against the other side

More Clues to Your Purpose As you read the assignment, think about what the teacher does in class:

  • What kinds of textbooks or coursepack did your instructor choose for the course—ones that provide background information, explain theories or perspectives, or argue a point of view?
  • In lecture, does your instructor ask your opinion, try to prove her point of view, or use keywords that show up again in the assignment?
  • What kinds of assignments are typical in this discipline? Social science classes often expect more research. Humanities classes thrive on interpretation and analysis.
  • How do the assignments, readings, and lectures work together in the course? Instructors spend time designing courses, sometimes even arguing with their peers about the most effective course materials. Figuring out the overall design to the course will help you understand what each assignment is meant to achieve.

Now, what about your reader? Most undergraduates think of their audience as the instructor. True, your instructor is a good person to keep in mind as you write. But for the purposes of a good paper, think of your audience as someone like your roommate: smart enough to understand a clear, logical argument, but not someone who already knows exactly what is going on in your particular paper. Remember, even if the instructor knows everything there is to know about your paper topic, he or she still has to read your paper and assess your understanding. In other words, teach the material to your reader.

Aiming a paper at your audience happens in two ways: you make decisions about the tone and the level of information you want to convey.

  • Tone means the “voice” of your paper. Should you be chatty, formal, or objective? Usually you will find some happy medium—you do not want to alienate your reader by sounding condescending or superior, but you do not want to, um, like, totally wig on the man, you know? Eschew ostentatious erudition: some students think the way to sound academic is to use big words. Be careful—you can sound ridiculous, especially if you use the wrong big words.
  • The level of information you use depends on who you think your audience is. If you imagine your audience as your instructor and she already knows everything you have to say, you may find yourself leaving out key information that can cause your argument to be unconvincing and illogical. But you do not have to explain every single word or issue. If you are telling your roommate what happened on your favorite science fiction TV show last night, you do not say, “First a dark-haired white man of average height, wearing a suit and carrying a flashlight, walked into the room. Then a purple alien with fifteen arms and at least three eyes turned around. Then the man smiled slightly. In the background, you could hear a clock ticking. The room was fairly dark and had at least two windows that I saw.” You also do not say, “This guy found some aliens. The end.” Find some balance of useful details that support your main point.

The Grim Truth

With a few exceptions (including some lab and ethnography reports), you are probably being asked to make an argument. You must convince your audience. It is easy to forget this aim when you are researching and writing; as you become involved in your subject matter, you may become enmeshed in the details and focus on learning or simply telling the information you have found. You need to do more than just repeat what you have read. Your writing should have a point, and you should be able to say it in a sentence. Sometimes instructors call this sentence a “thesis” or a “claim.”

So, if your instructor tells you to write about some aspect of oral hygiene, you do not want to just list: “First, you brush your teeth with a soft brush and some peanut butter. Then, you floss with unwaxed, bologna-flavored string. Finally, gargle with bourbon.” Instead, you could say, “Of all the oral cleaning methods, sandblasting removes the most plaque. Therefore it should be recommended by the American Dental Association.” Or, “From an aesthetic perspective, moldy teeth can be quite charming. However, their joys are short-lived.”

Convincing the reader of your argument is the goal of academic writing. It doesn’t have to say “argument” anywhere in the assignment for you to need one. Look at the assignment and think about what kind of argument you could make about it instead of just seeing it as a checklist of information you have to present. What kind of evidence do you need?

There are many kinds of evidence, and what type of evidence will work for your assignment can depend on several factors–the discipline, the parameters of the assignment, and your instructor’s preference. Should you use statistics? Historical examples? Do you need to conduct your own experiment? Can you rely on personal experience? See our handout on evidence for suggestions on how to use evidence appropriately.

Make sure you are clear about this part of the assignment, because your use of evidence will be crucial in writing a successful paper. You are not just learning how to argue; you are learning how to argue with specific types of materials and ideas. Ask your instructor what counts as acceptable evidence. You can also ask a librarian for help. No matter what kind of evidence you use, be sure to cite it correctly—see the UNC Libraries citation tutorial .

You cannot always tell from the assignment just what sort of writing style your instructor expects. The instructor may be really laid back in class but still expect you to sound formal in writing. Or the instructor may be fairly formal in class and ask you to write a reflection paper where you need to use “I” and speak from your own experience.

Try to avoid false associations of a particular field with a style (“art historians like wacky creativity,” or “political scientists are boring and just give facts”) and look instead to the types of readings you have been given in class. No one expects you to write like Plato—just use the readings as a guide for what is standard or preferable to your instructor. When in doubt, ask your instructor about the level of formality she or he expects.

No matter what field you are writing for or what facts you are including, if you do not write so that your reader can understand your main idea, you have wasted your time. So make clarity your main goal. For specific help with style, see our handout on style .

Technical details about the assignment

The technical information you are given in an assignment always seems like the easy part. This section can actually give you lots of little hints about approaching the task. Find out if elements such as page length and citation format (see the UNC Libraries citation tutorial ) are negotiable. Some professors do not have strong preferences as long as you are consistent and fully answer the assignment. Some professors are very specific and will deduct big points for deviations.

Usually, the page length tells you something important: The instructor thinks the size of the paper is appropriate to the assignment’s parameters. In plain English, your instructor is telling you how many pages it should take for you to answer the question as fully as you are expected to. So if an assignment is two pages long, you cannot pad your paper with examples or reword your main idea several times. Hit your one point early, defend it with the clearest example, and finish quickly. If an assignment is ten pages long, you can be more complex in your main points and examples—and if you can only produce five pages for that assignment, you need to see someone for help—as soon as possible.

Tricks that don’t work

Your instructors are not fooled when you:

  • spend more time on the cover page than the essay —graphics, cool binders, and cute titles are no replacement for a well-written paper.
  • use huge fonts, wide margins, or extra spacing to pad the page length —these tricks are immediately obvious to the eye. Most instructors use the same word processor you do. They know what’s possible. Such tactics are especially damning when the instructor has a stack of 60 papers to grade and yours is the only one that low-flying airplane pilots could read.
  • use a paper from another class that covered “sort of similar” material . Again, the instructor has a particular task for you to fulfill in the assignment that usually relates to course material and lectures. Your other paper may not cover this material, and turning in the same paper for more than one course may constitute an Honor Code violation . Ask the instructor—it can’t hurt.
  • get all wacky and “creative” before you answer the question . Showing that you are able to think beyond the boundaries of a simple assignment can be good, but you must do what the assignment calls for first. Again, check with your instructor. A humorous tone can be refreshing for someone grading a stack of papers, but it will not get you a good grade if you have not fulfilled the task.

Critical reading of assignments leads to skills in other types of reading and writing. If you get good at figuring out what the real goals of assignments are, you are going to be better at understanding the goals of all of your classes and fields of study.

Let me conclude by adding some text from an evaluation that I just wrote.  You can see the richness of information about the child’s language in an easy snapshot.

Josepi, Age 7;2  Qualified for Speech Services with an Expressive and Receptive Impairment

Conversational language sample.

Informal observations indicated that Josepi’s conversational language skills are stronger in Spanish than English.  The examiner asked Josepi about what he does at home and who he plays with, and what he received as a gift on a recent holiday.  He was able to give basic information in response to “Wh” questions (e.g., who, what, where) but his utterances were limited grammatically and Josepi did not initiate any of the conversation.

 Story-telling Exercise (TELL & RETELL)

Josepi was asked to tell a story after looking at pictures in a wordless picture book.

An example of Josepi’s stories in Spanish and English are presented here, followed by an explanation:

Narrative Summary

Three stories were elicited from Josepi:

  • English: without an example
  • Spanish: without an example
  • Spanish: with an example

Josepi’s English language sample could be described as naming the characters and using gestures and sound effects to tell the story.  His Spanish language samples were more linguistically rich and are considered a truer measure of his language abilities.  Josepi’s language sample in English was smaller, less complex, and contained more grammatical errors. Some of the errors are typical of Spanish-influenced English but others were not and are indicative of language impairment.

In Spanish, Josepi was asked to tell a story without a model and at a different time tell a story with a model.  There was considerable language growth between the two language samples (tell and retell), which indicates that Josepi benefits greatly from being able to see/hear an example before he is expected to complete a task.

Josepi produced utterances of 1-6 words in Spanish.  His utterances included the characters of the story and some actions (sleeping).  The story was told from the perspective of the main character as Josepi spoke as though he were the boy.  Much of the story contained sound effects and naming of the characters.  He mentioned the place (in the water) on a few occasions but typically did not mention the place or used non-specific words (there/here).  Without the pictures it would have been difficult to understand what Josepi was talking about.

The story that he generated included verbs in present tense but did not include past or future.  He did use certain verbs (cayó/fell) that occur more routinely in the past tense than the present.  He did not use adjectives or many conjunctions (and).  Without the known context of the book, much of the story would have been difficult to understand due to a lack of content, reduced use of pronouns and articles, and reliance on carrier phrase such as “and…” While his story included the action of many pictures, the story was not unified into a cohesive narrative.  He did not use cohesive elements (“and then) to link the story together.

Grammatically, Josepi struggled to use complete sentences that were grammatically and syntactically correct. He had difficulty including articles and pronouns consistently.   Additional syntactic errors included inclusion of extra articles, lack of plurals, missing aux-verb…, use of non-informative naming (it, that, everywhere), and using a different word order.

So you can see that with this relatively short language sample, we gain a wealth of information about Josepi’s expressive language skills.  By gathering a “tell” and a “retell” we gain insight about successful strategies for intervention and classroom support.  We didn’t go into great detail in this post about differentiating typical language influence errors from atypical errors.  If you want more details about this process, check out our Difference vs. Disorder: Language presentation slides on Slideshare or our continuing education course by the same title.

Hi Claudia, Thank you for the response and note about the links. I put in new links but they always seem to change. In the future you can Google Audacity and look for the blue headphones symbol and download it to your computer. Likewise, Frog Where Are You? and Mercer Meyer’s other frog books can be found on Amazon if this link goes dormant again.

We all used SALT a lot at the University and were involved in several data collection projects. The data set they have is great and I was at the SALT presentation at ASHA (2016) and learned that they just added a Spanish-only group from Mexico so that you can now do a true analysis of Spanish-only, English-only, bilingual, or all of the above.

If you helped collect data then you know that language samples are hugely powerful. All of our evals include them. Truth be told though, much of our field finds the process cumbersome and we wrote this post to introduce people to the “hows” of language sampling so that we can get the benefit of the sample without the perceived burden. Tons of non-native English-speakers continue to get pulled into special education due to shallow formal evaluations. We truly believe that the language samples are the way out.

This article is just what I needed to read this morning as I head into work to complete two evaluations. What helped me the most was seeing an example of how to convey through the written report, in specific but common language, an explanation of what was found by conducting the language sample.

I don’t find the process of eliciting or transcribing a language sample as difficult as I do the next part, which is what to do with it, how to interpret it, and how to express my findings in a report that’s readable by all members of the IEP team. Much like the child in the article’s example, I feel so much more competent after being provided with an example with which to internalize as my own thought process while making sure not to directly copy, although, I’ve learned that using boiler-plate canned phrases is no reason to feel guilty–rather, it allows one to spend more time with things that have more impact.

Sorry for the long-winded post, but I just wanted to express my gratitude for this website/resource.

Here are some language samples elicited in response to various stimuli. These demonstrate how elicitation strategies influence production.

Avoid simple descriptions or recounts by asking students to interpret behavior, compare behavior to analogous personal experience, or provide explanations.

Asking probing questions may elicit more complex language.

When your language teachers and tutors advise you to get more writing practice , it can be hard to follow their guidance.

If your daily life isn’t action-packed, keeping a diary in your target language can get boring and repetitive, but what other topics can you discuss?

Whether you’re a beginner or an advanced learner, there are plenty of great things to write about. Here are 33 writing prompts for language learners to get you started.

Beginner Writing Prompts

Beginning level students usually know basic vocabulary related to describing people, weather, food, animals, routines and related topics.

Writing as a beginning student can be a bit tricky because you don’t yet have a vast vocabulary. Additionally, your verb conjugation abilities are probably limited, so you may need to stick to the present tense.

These writing prompts can be answered with simple, general vocabulary and present tense verbs , so they’re ideal for beginning students.

You can take this question in a wide variety of directions. Based on what vocabulary you want to practice, you might describe your appearance, your job and/or your interests. If you want to try using more advanced-level vocabulary, you could try getting more philosophical with your response.

Everyone has something they like to do. What are your favorite hobbies? If your vocabulary is limited, you might try simple responses, like “I like sports.” However, as your vocabulary gets more advanced, you can add more detail into your response. For instance, “I like sports, especially soccer. My favorite thing about soccer is hitting the ball with my head.”

What do they look like? What are their personalities like? How is each person related to you? What are their interests? This prompt can be used for quick, easy writing practice or for a book-length extended project.

You can describe your friend physically, describe their personality and/or explain what you like to do together. If you already know some past tense verbs, you might even tell a story about something that happened with your friend in the past to illustrate what your friend is like.

You could even break this one down into a series of prompts. Describe your neighborhood. Describe your city. Describe your state. Describe your country. You might discuss the layout, culture, businesses, natural environment or how you feel about your location.

Not only can you name the dish and list the ingredients, you can also describe how it tastes. As your language skills progress, you might even try explaining how the dish is made.

With this prompt, you can address a variety of subtopics. What is the weather like? What does the season look like? How does it feel? What events or holidays happen during the season?

You can describe what happens in the movie or TV show in either past or present tense. You might also note the genre and/or describe the characters.

Major bonus points if you can describe a Netflix movie or TV show  that you also watch in your target language!

Beginning students commonly learn words related to daily routines, so go through your day and explain what you do. When do you wake up? How do you get ready for work or school? What do you eat for breakfast? When do you leave for work or school? How do you get there? What do you do once you’re there? What do you eat for lunch? When do you leave? What do you eat for dinner? How do you relax in the evening?

This question can be a little more advanced in that you could use future tense verbs. However, if you don’t yet know future tense, depending on what your target language is, you may be able to simply use “I am going to…” constructions. Writing about your plans can help you practice words for common activities and prepare you for real conversations you may have with native speakers.

You might describe the animal, what it looks like, what it eats, where it lives, etc. This can give you practice with animal words, physical descriptions, food words and location-related vocabulary.

As an intermediate writer, it’s time to up your game. Now, you can use a broader range of vocabulary words and verb tenses. These prompts will help you make good use of your advancing skills.

Whip out your past tense verbs for this one! Consider writing the story of the funniest thing you’ve experienced. Maybe it’s something that happened to you or maybe it’s just something you witnessed. Regardless, this will give you practice with more diverse vocabulary and past tense verbs.

This prompt invites you to give your conditional verb tenses a workout. Where would you like to go? Why would you like to visit this location? What would you like to do there? Who would you go with?

Describing the best out-of-the-ordinary experience you’ve had, whether a vacation or any other break from daily routine, gives you an opportunity to use plenty of past tense verbs. You might even work in some less common verbs to describe specific activities you participated in, like snorkeling or skiing. You can describe the experience, who you were with, what you did and what made it so enjoyable. Feeling nostalgic? Look at old photos if you have them and describe them in your target language.

Oh, the age-old interview question! In your native language, it’s probably an uncomfortable opportunity to reflect on your goals, but in your target language, it can be a valuable way to practice using future, conditional and/or subjunctive verb tenses while also employing industry-specific vocabulary.

Plus, if you ever need to do a job interview in your target language, you’ll be happy you have the practice. If you like this prompt, you might even consider using some of  The Muse’s list of common interview questions  for additional writing prompts.

What do you hope to achieve in your life? You might use future tense here, but if you prefer present tense, you can use an “I want to…” or related construction. From there, you can use all sorts of vocabulary words related to your career, family, housing, etc.

Use past tense to describe yourself as a child. You might describe your appearance or personality. To work in more advanced vocabulary, you might also note in what ways you challenged your parents and what you wanted to be when you grew up.

Writing poetry can be a fun way to use your language skills. To make it a little trickier, write in rhyme. You can write about whatever you like, but you can’t go wrong with a love poem. After all, you can always re-purpose it down the road if need be.

Whether it’s cooking, painting or playing Fortnite, this will require the use of commands and a strong vocabulary related to whatever activity you write about.

Whether they’re monthly or yearly, passed down through generations or made up on the spot, traditions shared by people can be a lot of fun. But they also afford a lot of opportunities to use whatever verb conjugations you need to practice. You can talk about your favorite tradition from the past, how you practice it today or how you hope to practice it in the future. You could even instruct readers on how to adopt your favorite tradition.

21. What do you think the world will be like in 50 years?  

Think about society, culture and major world issues. How do you think everything will change and evolve? Not only can you use future tense verbs, but this prompt will give you the opportunity to use more advanced vocabulary related to science, technology, culture and/or politics. Depending on your vision, you could even expand your work into a sci-fi or dystopian novel.

This prompt could work with either present tense or conditional verbs. However, more importantly, it invites you to use plenty of more advanced vocabulary relating to learning, careers and society. Responding to this prompt could even serve as extra motivation by reminding you why education or learning of any kind (including your language learning) is so important to you.

As an advanced student, you should be aiming to write without having to think too much. You should be able to navigate seamlessly between any verb tenses and use your large and diverse vocabulary effectively. These prompts aim to help you exercise a broad array of skills.

Okay, you might not have a genie in a bottle, but what would you ask for if you did? This question invites the use of conditional tense verbs. Plus, the vocabulary you use is likely to be as diverse and varied as your dreams.

Writing about current world problems can help you use vocabulary words that are relevant today but might not be terribly common. While you could use present tense, you might also use future and/or conditional tense to examine how this issue could cause long-term consequences.

Take this world’s problems and turn them around! Considering what you would change about society will give you an opportunity to use conditional tense and/or commands to explain what needs to change and how.

Past and future tense in one prompt? How can you resist? Not only that, this prompt invites you to use the latest technology-related words, which are super useful for advanced learners.

This prompt invites you to use advanced vocabulary related to politics and society. Plus, you can use it to practice the conditional tense, future tense and/or subjunctive tense verbs.

This question may feel nearly impossible to answer in your native language, so it will be even more challenging in your target language. However, if you give it a try, you’ll be able to practice words related to society and politics. While you’ll probably use mostly present tense verbs, you might also work in some conditional, subjunctive, future and/or past tense.

Using key literary terms is often reserved for academia, so writing about your favorite literary work will certainly give your vocabulary a workout. While this will be largely in present tense, you might throw in a few other verb tenses for good measure.

What’s the best lesson you’ve learned? Why do you want others to learn it? This question is complex enough that you might incorporate a huge array of verb tenses.

Medical terminology can be a little tricky, but practicing using it is useful , particularly if it relates to a medical condition you or loved ones have. Writing about medical issues and their treatments will reinforce medical vocabulary and past tense verbs. Plus, if you ever experience a medical emergency abroad, you might be relieved to have practiced relevant vocabulary.

You’re educated. You know what’s up. What do you think should be covered more in schools? Addressing this issue gives you an opportunity to use education terms, present tense verbs and conditional verbs.

Not only can you use vocabulary that’s currently relevant, you can also use an array of verb tenses. Start with past tense and then transition to future, conditional and/or subjunctive tenses. Using this writing prompt can help you practice transitioning smoothly between tenses.

  • Using foreign language writing prompts can help reduce anxiety when writing in your target language . Staring at a blank page can be stressful and can make you want to procrastinate trying to write, but writing prompts can make writing seem less like hard work.
  • You can also use foreign language writing prompts to determine what vocabulary and/or grammar you need to work on . Writing can help you detect what grammar rules you’re struggling with and what holes in your vocabulary you need to fill.
  • Writing prompts can help you keep your target language in shape . Skills can slip over time, so continuing to practice your writing can help prevent backsliding.
  • Using writing prompts can help make it so that writing in your target language feels easy and requires less conscious effort .  Writing in a foreign language is a skill like any other. The more you practice it, the easier it will become.
  • Don’t just write. Read. To write well in your target language, you’ll need to also read in your target language. Luckily, there are plenty of places to read content in your target language .  Project Gutenberg  offers many classic works in several languages, and  BBC News  gives you news stories in a variety of languages.
  • Write as often as possible. Writing as often as possible not only gives you the practice you need to improve your skills, it also keeps you in the habit. If you set aside a few minutes each day for your writing practice, you’re less likely to forget to do it.
  • Try to use specific rules or vocabulary you’ve recently learned. Trying to use specific grammar rules and vocabulary you’ve recently learned is a terrific way to practice using your new skills. It reinforces them and makes them easier to use the next time.
  • As you write, note what you’re struggling with. While you’re writing, you’ll probably notice a few hiccups. For instance, you may want a word but realize you don’t know it. Whenever you encounter one of these problems, jot it down. Then, after you write, you can go over your notes to work to resolve whatever issues you struggled with.
  • Read what you’ve written and correct your own work. Once you’ve responded to a writing prompt, read over your work with a critical eye. What errors do you notice? Consent to assignment refers to allowing a party of a contract (the assignor) to assign a contract and move the obligations to another party (the assignee). 3 min read updated on February 01, 2023

Consent to assignment refers to allowing a party of a contract to assign a contract and move the obligations to another party. The party of the existing contract, known as the assignor, will pass on the contract to another party, known as the assignee. The goal is for the assignee to take over the rights and obligations of the contract. For a contract to be assigned, the other party must be aware of what is happening.

Contract Assignments

The assignment of a contract differs depending on the type of contract and the language in the original agreement. Some contracts contain a clause that doesn't allow assignment at all, while other contracts have clauses that require the other party to consent before assignment can be finalized.

Consider the following scenario. A business owner contracts with a computer company to have a processor delivered every time a new model is released. The computer company assigns the business owner's contract to another provider. As long as the business owner is aware of the changes and still receives the processors as scheduled, his contract is now with the new computer company.

However, assigning a contract doesn't always exempt the assignor from their duties and responsibilities. Some contracts include a clause that states that even if the agreement is assigned to another party, the original parties guarantee that the terms of the contract will be fulfilled.

Unenforceable Assignments

There are a number of situations where a contract assignment won't be enforced , including:

  • The contract has an anti-assignment clause that can stop or invalidate any assignments.
  • The assignment changes the nature of the contract. An assignment that changes what is expected or impacts the performance of the contract isn't allowed. This also applies if the assignment lowers the value one party will receive or adds risk to the deal that the other party didn't originally agree to.
  • The assignment is against the law. In some cases, laws or public policies don't allow assignment. Many states forbid employees to assign future wages. The federal government doesn't allow the assignment of particular claims against the government. Some assignments violate public policy. For example, a personal injury claim cannot be assigned because it could lead to litigation against a party who was not responsible for the injury.

Delegation vs. Assignment

It is common for a party to sign a contract and have someone else actually fulfill his duties and do the work required by the contract. However, some contracts can't be delegated, such as when a party agrees to service done by a particular person or company. If a company contracted with Oprah Winfrey to be a keynote speaker, Oprah wouldn't be permitted to delegate her performance duties to anyone else.

If both parties agree that the work can't be delegated, they should include specific language in the original contract. This can be as simple as a clause that states, “Neither party shall delegate or assign its rights.” Both parties should agree to this clause.

How to Assign a Contract

Assigning a contract is a three-step process. First, check to see if the contract has an anti-assignment clause or if there are limitations around assignments. Sometimes clauses are straightforward with language like, “This agreement may not be assigned,” and while other times, the language is less obvious and hidden in another clause. If there is language in the contract that states it can't be assigned, the other party must consent to an assignment before you can proceed.

Second, the parties must execute an assignment . Create an agreement that transfers the rights and obligations of one party to the assignee.

Third, notify the other party of the contract. Once the contract rights have been assigned to the new party, you should notify the other party of the original contract. Providing written notice removes you from being responsible for any part of the contract unless there is language in the contract that says differently or the assignment is illegal.

Anti-Assignment Clause

As you are negotiating and writing a contract, consider whether you want the contract to be able to be assigned. If you don't want assignment to be a legally viable option, that needs to be clearly stated in the contract.

In order to help you apply aspects of the Environmental Health Science Model to your community and your personal world, you will be creating a weekly Lab entry. Rather then submitting a word document you will be creating a digital entry of your exploration of concepts taught in this class. The goal of this project is to allow you the opportunity to deeply examine the thinking, interactions, exercises, and writing you have experienced over the course of the semester and connect them to your daily life.

This is an intentionally “vague” assignment, created to give you flexibility in demonstrating what you know and understand about these topics. You will select two topics from each block that most interest you. You will be doing this for:

  • Block I Labs 1 and 2
  • Block H Labs 1 and 2
  • Block M Labs 1 and 2
  • Block R Labs 1 and 2

At the end of the course you will have a portfolio containing 8 Sway entries.You can create an entry about *anything* that was talked about in the block that you find interesting and relevant. You must include all four required elements listed below, but other than than you have flexibility. If you do need some ideas to get you started, consider answering any of these Prompt Ideas for Lab Entries.

Instructions

Any type of presentation that delivers the required information in a  multi-media format ( e.g. Sway or Power Point). However, Sway provides you the ability to make a complete portfolio from the beginning to end of semester. This will allow you to see what you have learned, how that has evolved, and themes for your EHS and public health interests. Furthermore, if ever asked what you learned with regards to EHS, you can use this portfolio in a format quickly growing in popularity to demonstrate this.

Required Elements

Each weeks’ posting must have the following elements:

  • Description of the concept that you choose to explore in this block and why
  • How it connects to you personally, professionally and as a scientist.
  • One media element – this can be an image, a collage, a GIF, a video, or audio clip.

In your Canvas course, you will find one assignment for each lab entry . The assignments will be labeled with the block letter and lab 1. For example, your first submission will be “Block I Lab 1.” You will also be submitting  “Block I Lab 2,”

Your individual assignment submissions  will include:

  • The link to your Sway. (If you are not sure how to get the link, read this document. Refer to the “Share your Sway from an Organizational Account” section.)
  • A brief 1-2 sentence summary of your posting.

For example, Block I Lab 1 will have one link (to your first Sway post) and Block I Lab 2 will have the link to your second Sway post.

You will not be able to see other’s posts until you have uploaded your Sway. Once you have posted take time to explore the work of your peers. Engage them in a conversation, ask questions, get clarification. Let them know how your submission was different or similar to theirs. What did you learn from their work?

There are 8 Lab entries for this semester. Each entry is worth 5 points. You can earn 46 points in total for all eight lab submissions. As outlined in your syllabus, grading is as follows:

What Is An Allegory?

A picture, poem, or story that has a hidden meaning, that is usually related to political insights or moral value is an allegory. It can be used to convey a symbolic message about the real world. In fact, if a story has a fixed meaning, allegories can be used to develop the different layers of meaning. For example, 'The Animal Farm' by George Orwell seems to be about a group of animals who rebel against the farmers. However, on closer view, it highlights the situation of the erstwhile Soviet Union and how it was led by Joseph Stalin.

What Are Alliterations?

Take a look at this sentence:

Larry’s leopard likes leaping lizards.

What stands out in this line? All the words start with the same letter and that is what alliterations are about. Alliterations are fun to hear and can be used to draw the reader’s attention to certain words in the document, thereby emphasising them. Alliterations are among the most interesting language features in English. Some examples of language features and alliterative sounds are given below:

'Pied Piper picked a peck of pickled peppers.'

Heavenly Hillsboro, the buckle on the Bible belt.

In the second sentence, there is a repetition of the ‘b’ and ‘h’ sounds. The former is a persuasive language feature and has a sharp effect whereas the latter imparts a soothing effect. Thus, alliterations can be used if you want your audience to focus on certain words.

What Is An Analogy?

An analogy is one of the best features that can be used in a persuasive essay . Since persuasion is all about helping your readers see your point of view and make them understand what you are communicating through your work. However, your audience will only understand your argument if you make sound arguments and back them up with well-targeted theories and facts that come to an unavoidable conclusion. Thus, when it comes to a persuasive essay, analogies are difficult to beat. A great example of an analogy is:

'Just as the caterpillar comes out of its cocoon, so we must come out of our comfort zone.'

In a sentence like this, an analogy has been used to link or compare the transition of a butterfly from a caterpillar with the different stages of change for a human being. This kind of example shows us that just like a caterpillar has to change itself inside the cocoon to be able to fly away, humans also need to come out of their comfort zone to grow in life. Persuasive, right?

What Is A Metaphor?

A metaphor is used when you want to talk about similar things and link them with the words ‘like’ or ‘as’. This is a considerably basic definition of metaphors. However, in other words, it is a language technique that can be used to attract your reader’s attention. If you want your writing to stand out, a metaphor will help you do this logically. It can also help you inspire your readers to act or change their beliefs if you can use them logically. Metaphors make your writing more memorable, personal, and persuasive. Here is an example of a metaphor:

“Walt becomes a real pig when he starts eating.”

Would you have ever thought of the words ‘Walt’ and ‘pig’ in relation? No. But with the correct metaphor, you can understand what the writer is trying to convey through their work.

  • Figurative Language: It is a form of expressing oneself that does not employ a real meaning. For instance, in Forrest Gump, the 1994 film, the protagonist uses the simile "Life is like a box of chocolates." He focuses on how unpredictable life is; in the same way, you don't know the taste of the chocolate until you taste it.
  • Consonance: The repetition of the same consonant sounds in the text. Mainly, the sound can be found in the middle or end, or at the end of stressed syllables, not anywhere in the world. Did you know? Since the 1580s, the recent definition of consonance as a literary device has been preferred. It is an important device in the construction of half-rhymes. 'Did you hear about the kid who thought he was a giraffe? It was a tall story'.

In this sentence, the phrase ‘tall story’ is related to the ‘giraffe’ and expresses that the initial question was actually a lie and was merely an attempt to crack a joke.

Similarly, in the last scene of ‘Silence of the Lambs’, Hannibal Lecter says:

‘‘I am going to have some friends for dinner.’’

Here, he means this literally because he portrays the character of a cannibal in the movie.

Puns, mood, and tone can be used in narrative essays to present your thoughts vibrantly. The list of English language features is also endless. However, it is up to you to use these features carefully and in a manner that will enhance the quality of your writing without making it seem sloppy and abrupt.
