The term “startup” has become a familiar part of the business lexicon and is often used to describe fast-growing, entrepreneur-led companies in the technology sector. Actually, a startup is any business enterprise that has recently been established. If you are in the early stages of starting a business, one of the first steps you will need to take is to create a business plan.

This simple template was designed to help someone new to the business world to easily put together a professional plan describing a new venture. Keep your startup plan short. As your business matures, you can adapt the plan to include additional detail.

You can create different iterations of it for different audiences. The bank will want more financial information, but a new employee might be more interested in your company’s mission statement and your plan for selling the product or service.

Executive Summary

An executive summary is a crucial part of any business plan. It should come first in your document. The executive summary gives the reader, who may be a very busy bank executive, a chance to understand your business in a quick, one-page read.

In no more than a short paragraph for each point, summarize the sections of your business plan:

• Give your elevator pitch and briefly describe your company

• Summarize the market research you have done

• Present the problem you are aiming to solve

• Describe how your product or service solves the problem

• Introduce key management

• Provide a synopsis of your sales and marketing plan

• Explain your financial plan

Close your executive summary with a clear explanation of your project, why it is needed, and how it will benefit future customers and investors.

HubSpot Tip: Write this section last, after you have written all of the other sections. It should summarize your entire business plan in about a page.

About the Company

Describe what makes your company different. This section should convince readers that your business idea is important and that the product or service that you will offer is needed.

Present your company’s name, location, type of business, ownership, and significant assets.

Describe your company’s mission: What is your reason for existence? Describe the values on which you are founding the company.

List the company’s goals and objectives and explain how you fit into the industry.

HubSpot Tip: Keep this section brief. The remainder of the document allows space for you to go into more detail about your business.

Market Analysis

Before writing your business plan, you need to conduct research on the market and industry you are planning to enter. Based on that research, you should describe your industry, the opportunities it offers, and the growth it is experiencing.

Describe the key environmental trends in your industry. What are the barriers to entry (e.g., high production or marketing costs, tariff barriers, regulatory challenges, extensive training)? How is the industry progressing? What is changing?

You should also define your target customers. Who will buy your product or service?

Who are your major competitors? Identify and describe them.

Identify what defines your product or service in the marketplace. What distinctive competencies or offerings do you provide that other companies do not?

HubSpot Tip: Note the key factors for success in this industry, and focus on proving that your company has them.

The Problem

Describe the need in the market that your business idea will fill. How did this need arise and why has it not been filled yet? Explain how you identified the need and how your product or service will meet it.

HubSpot Tip: Keep this section short, as the focus should be on your solution, which you will describe in the next part of the business plan.

Describe the products or services your business will provide. Include your value proposition - describe how your service/product is attractive to customers.

You should also include a description of the features and benefits of your product or service to your customer. Consider capturing this in a simple table like the one below.

HubSpot Tip: You can include photos or brochures of your products, but consider putting them in an appendix so that they do not interrupt the message in your narrative.

Organizational Structure

Since your company is just starting, it is likely that you do not have many people on your staff. Describe the key operations and management roles in your company, and provide brief biographical sketches of your leadership. The aim is to show to readers that your team has the skills and qualifications to implement what you have outlined in the business plan.

If you receive advice from a board of directors or any high-level external advisors, mention them in this section.

HubSpot Tip: The biographical sketches should include the educational credentials, relevant experience, and related accomplishments of your leaders. Consider personalizing your plan by including headshots of your staff.

Sales and Marketing Strategy

In this section, you should describe how you will promote your new product or service. Begin by identifying challenges with entering the market and explain how you will overcome them. You can use a table like the one below to outline the barriers and your solutions.

Market Barrier/Challenge

Justify the following choices you have made:

• Location – Does it bring cost savings? Is it close to your customer base?

• Pricing Strategy – How will it entice customers to buy your products or services? How will it lead to profits for your business and investors?

• Promotion Plan - Will you use print, radio, television, or social media? Will you hire a marketing manager?

Note the budget for your marketing strategy and tell the reader how you will obtain the funding for this important aspect of your business. If you plan to use consultants or an advertising agency, include these costs in your budget.

HubSpot Tip: Consider including a few mockups of your company’s logos, branding, or marketing materials in an appendix.

Financial Plan

Describe the cost structure and financial aspects of the business. Explain the kind and amount of investment that you need, what you will use the money for, and how you envision your business becoming profitable.

To give readers a peek into your company’s projected financial future, you should include as much of the following financial information as possible. Remember, your business plan is a living document, so even if you do not have all of this information at the startup stage, you can add it as your business matures.

• Cash flow projection – An estimate of how much money you expect to flow in and out of your business.

• Capitalization plan – Lists the sources and uses of capital that your business plans to amass.

• Break-even analysis – A determination of what you need to sell in order to cover the costs of doing business.

• Income statement – Also known as a profit and loss statement (P&L), it shows the company’s revenues and expenses over a period of time.

• Balance sheet – A statement of the assets, liabilities, and capital of a business at a point in time.

Financial documentation is often long, so you should reference them here and include copies in an appendix.

HubSpot Tip: Not everyone is an expert in finance, but it plays an important role in starting a business. Unless you have an accounting background, consider seeking assistance on this section of your plan.

Implementation Plan

Tell the reader how you will implement your business plan. Consider including a timeline like the one below to illustrate the steps in the process to getting your business up and running. Customize it with your dates and the specific steps you will take.

HubSpot Tip: Set reasonable deadlines that you are able to meet, but that show your initiative and eagerness to realize your new venture.

In a few sentences, summarize the main point that you would like the reader to understand about your business. This can vary based on the target audience. For example, if you are presenting your plan to a bank to ask for a loan, this section should focus on your financial viability and why the bank should choose to finance your business.

Describe the next steps, and provide detailed contact information so that the reader can get in touch with you easily.

HubSpot Tip: Your conclusion should incite the reader to act. Make it easy for them by including all of the information they need to move forward.

Want to provide additional detail but need to avoid making your business plan too long? You can insert documents in the Appendices and reference them in the text. In this way, you can provide more information without breaking up the flow of your business plan text.

Under the Corporate Transparency Act, U.S. small businesses must file beneficial ownership information reports with the Department of the Treasury.

The Corporate Transparency Act (CTA) , aimed at combating illicit financial activity, went into effect on January 1, 2024. Under the act, small businesses across the United States need to file beneficial ownership information reports, also known as corporate transparency reports.

What to know about beneficial ownership information reporting

The CTA was developed to increase transparency in business ownership and curtail the use of anonymous shell corporations for tax fraud, money laundering, and other illegal financial activity. Under this act, all businesses that fall under the definition of a reporting company must file a beneficial ownership information report (BOIR) with the Financial Crimes Enforcement Network (FinCEN).

A reporting company is any privately held company, whether domestic or foreign, registered to conduct business in the U.S. Publicly traded companies do not fall under the CTA, as they are subject to their own reporting requirements.

A beneficial owner is any individual who owns or controls at least 25% of an organization, or directly or indirectly exercises substantial control in any of the following roles:

  • They serve as a senior officer, such as a president, CEO, or general counsel.
  • They have the authority to appoint or remove senior officers, board members, or other similar roles.
  • They make important decisions concerning the company’s business, finances, and/or structure.

Reporting requirements for small businesses

Eligible small businesses will need to report the following information about their companies:

  • The full legal name of the company.
  • The company’s business address; P.O. boxes or lawyer’s/adviser’s offices cannot be accepted.
  • The state or Tribal jurisdiction where the company was formed or first registered.
  • The taxpayer identification number and an identity document, such as a filed Articles of Incorporation or Organization.

Corporate transparency reports must also include the below information about any beneficial owners:

  • Their full legal name and date of birth.
  • Their home address; P.O. boxes or lawyer’s/adviser’s offices cannot be accepted.
  • A photocopy of their U.S. driver’s license or passport.

Under this act, all businesses that fall under the definition of a reporting company must file a beneficial ownership information report (BOIR) with the Financial Crimes Enforcement Network (FinCEN).

How to file your corporate transparency report

As of January 1, 2024, FinCEN has begun accepting beneficial ownership information reports. Here are four steps you can take to prepare your corporate transparency report.

1. Determine whether your business is required to file.

Under the CTA, LLCs and corporations must file beneficial ownership information reports unless they qualify for an exemption. The following entities are exempt from reporting:

  • Large operating companies; those with over 20 full-time employees in the U.S. and over $5 million in gross sales or receipts from U.S.-based sources.
  • Inactive entities that were established on or before January 1, 2020, but are not in active business.
  • Any other exemption from CTA reporting. If you aren't sure if your business falls under other CTA reporting exemptions, speak with a lawyer.

If your company is not an LLC or corporation, establish whether your business falls under the definition of a reporting company as defined above; a legal professional can also help you make this determination.

2. If your business qualifies, learn who the beneficial owners are.

List out any individuals who own or control 25% of your company, or otherwise exercise substantial control as defined above. If you are unsure if an individual meets the requirements of a beneficial owner, consult with a legal professional.

Once you have identified any beneficial owners, contact each to inform them that the CTA requires your business to report their personal information to FinCEN. Beneficial owners can choose to apply for a FinCEN Identifier and provide information to FinCEN directly. Otherwise, they can send the necessary information directly to you (the company) to be included in your business’s beneficial ownership information report.

3. Create a procedure.

Whether your beneficial owners are submitting their information via FinCEN or to your company, establish a process to keep all personal information organized, secure, and current. In addition to your initial report, you will need to file updated reports should there be a change in personal information or beneficial ownership.

4. File your report online.

All companies required to submit beneficial ownership information reports must file online via FinCEN . You can file one of two ways:

Complete and upload a PDF. Download a copy of the blank BOIR form as a PDF here and fill in the information. They can then upload the completed PDF using this page . It should be noted that Adobe Acrobat is required to open and complete this PDF.

Use FinCEN’s online platform. If you do not have Adobe Acrobat or simply wish to complete and file your BOIR within FinCEN’s platform, you can visit this page and follow the prompts. You will need to fill in information for and upload a photo of an identification document for each beneficial owner.

Reporting companies established before January 1, 2024, have until January 1, 2025, to file their initial corporate transparency reports. Companies established between January 1, 2024, and January 1, 2025, must file within 90 days from the notification or public announcement of their formation, whichever date comes first.

How Do You Fill Out a Business Plan?

How you write your business plan depends on the size and nature of your business. Below, we outline five simple steps you can take to prepare and fill out your business plan.

  • Determine the Purpose of Your Business Plan: Are you creating a strategic roadmap for your business? Are you seeing if your business idea is feasible? Are you trying to attract investors? When you understand the goals of your plan, you can tailor it to your specific needs. For example, if the goal of your plan is to persuade investors to take a chance on your business, you should include sections that discuss your funding goals, how you plan to use any investment funds, what investors will receive in exchange for their investment, and what key milestones you plan to achieve with the funds. IR-2024-39, Feb. 13, 2024

WASHINGTON — With a key March deadline quickly approaching, the Internal Revenue Service today highlighted special warning signs that an Employee Retention Credit (ERC) claim may be questionable to help small businesses that may need to resolve incorrect claims.

The agency alerted businesses about seven suspicious warning signs that could signal future IRS problems involving ERC claims. The indicators, built on feedback from the tax professional community and IRS compliance personnel, center on misinformation some unscrupulous ERC promoters used. Many of these groups urged taxpayers to ignore advice from trusted tax professionals and claim the pandemic-era credit even though they may not qualify.

“IRS compliance activity continues increasing involving Employee Retention Credit claims, and those claiming this pandemic-era credit need to quickly review their situation to avoid future problems,” said IRS Commissioner Danny Werfel. “Many businesses were wildly misled about the qualifications, and the IRS is taking a special step to highlight common problems being seen about these claims. The IRS urges ERC claimants to get with a trusted tax professional and review their qualifications before time runs out on IRS disclosure and withdrawal programs. The ‘suspicious seven’ signs released today are clear red flags that ERC claimants should carefully review.”

The alert comes as a March 22, 2024, deadline approaches for the ERC Voluntary Disclosure Program for anyone that filed a claim in error and received a payment; the disclosure program allows businesses to repay just 80% of the claim. Taxpayers who filed a claim previously that hasn’t been processed should also review the guidelines and quickly pursue the claim withdrawal process if they now see their claim is ineligible.

The IRS took steps on the ERC program after the well-intentioned pandemic-era program came under aggressive, misleading marketing that oversimplified or misrepresented eligibility rules. Promoters pushed more applicants into the program, frequently by taking a percentage of the payout. The IRS wants businesses to know about these warning signs, revisit their claim if there are questions and act quickly before the special disclosure and withdrawal programs end. Resolving an incorrect claim through the IRS’s special programs will avoid penalties and interest.

“We’ve heard from the tax pro community and others that sharing more warning signs can help point well-intentioned people in the right direction,” Werfel said. “Many of these taxpayers were misled by overzealous and unscrupulous promoters taking advantage of honest taxpayers. The most beneficial time to resolve any incorrect claims is now before this special window closes.”

The ERC, sometimes called the Employee Retention Tax Credit or ERTC, is complex, and the IRS urged claimants to talk to a reputable tax professional for help with an ERC claim. Taxpayers should avoid working with anyone who doesn’t ask for details or business records, such as payroll records.

7 suspicious signs an ERC claim could be incorrect

Here are some of the common red flags being seen on ERC claims that the IRS is focusing on:

  • Too many quarters being claimed. Some promoters have urged employers to claim the ERC for all quarters that the credit was available. Qualifying for all quarters is uncommon, and this could be a sign of an incorrect claim. Employers should carefully review their eligibility for each quarter.
  • Government orders must have been in effect and the employer’s operations must have been fully or partially suspended by the government order during the period for which they’re claiming the credit.
  • The government order must be due to the COVID-19 pandemic.
  • The order must be a government order, not guidance, a recommendation or a statement. Some promoters suggest that an employer qualifies based on communications from the Occupational Safety and Health Administration (OSHA). This is generally not true. Employers should make sure they have documentation of the government order related to COVID-19 and how and when it suspended their operations. Employers should avoid a promoter that supplies a generic narrative about a government order.  
  • Too many employees and wrong calculations. Employers should be cautious about claiming the ERC for all wages paid to every employee on their payroll. The law changed throughout 2020 and 2021. There are dollar limits and varying credit amounts, and employers need to meet certain rules for wages to be considered qualified wages , depending on the tax period. The IRS urges employers to carefully review all calculations and to avoid overclaiming the credit, which can happen if an employer erroneously uses the same credit amount across multiple tax periods for each employee.   • Business citing supply chain issues. Qualifying for ERC based on a supply chain disruption is very uncommon. A supply chain disruption by itself doesn’t qualify an employer for ERC. An employer needs to ensure that their supplier’s government order meets the requirements. Employers should carefully review the rules on supply chain issues and examples in the 2023 legal memo on supply chain disruptions PDF .  
  • Business claiming ERC for too much of a tax period. It's possible, but uncommon, for an employer to qualify for ERC for the entire calendar quarter if their business operations were fully or partially suspended due to a government order during a portion of a calendar quarter . A business in this situation can claim ERC only for wages paid during the suspension period, not the whole quarter. Businesses should check their claim for overstated qualifying wages and should keep payroll records that support their claim.  
  • Business didn’t pay wages or didn’t exist during eligibility period. Employers can only claim ERC for tax periods when they paid wages to employees. Some taxpayers claimed the ERC but records available to the IRS show they didn’t have any employees. Others have claimed ERC for tax periods before they even had an employer identification number with the IRS, meaning the business didn’t exist during the eligibility period. The IRS has started disallowing these claims, and more work continues in this area as well as other aspects of ERC.  
  • Promoter says there’s nothing to lose. Businesses should be on high alert with any ERC promoter who urged them to claim ERC because they “have nothing to lose.” Businesses that incorrectly claim the ERC risk repayment requirements, penalties, interest, audit and potential expenses of hiring someone to help resolve the incorrect claim, amend previous returns or represent them in an audit.

Resolving incorrect ERC claims

Businesses that are not eligible for ERC but have received it – as a check that’s been cashed or deposited, or in the form of a credit applied to a tax period – may be able to participate in the IRS’s ERC Voluntary Disclosure Program . The special program runs through March 22, 2024, and allows eligible participants to repay their incorrect ERC, minus 20%.

If a taxpayer’s ERC is incorrect and is paid after Dec. 21, 2023, they aren’t eligible for the ERC VDP. They should not cash or deposit their check. They can withdraw the claim , return the check and avoid penalties and interest.

The withdrawal option lets certain employers withdraw their ERC submission and avoid future repayment, interest and penalties. Businesses can use this option if they haven’t received the payment, or they've received a check but haven’t deposited or cashed it. If a taxpayer’s withdrawal request is accepted, the IRS will treat the claim as though it was never filed.

Eligibility highlights

The ERC is available to eligible employers that paid qualified wages to some or all employees after March 12, 2020, and before Jan. 1, 2022. Eligibility and credit amounts vary depending on when the business impacts occurred. The ERC is not available to individuals.

  • For 2020 and the first two calendar quarters of 2021, an employer may qualify if their trade or business operations were fully or partially suspended due to a government order related to COVID-19 or they experienced the required decline in gross receipts .
  • For the third quarter of 2021 , an employer may qualify if their trade or business operations were fully or partially suspended due to a government order related to COVID-19, they experienced the required decline in gross receipts, or they were considered a recovery startup business .
  • For the fourth quarter of 2021 , only recovery startup businesses are eligible.
